SETTLEMENT AGREEMENT - Page 2 at all times each has only one (1) vote, designated as to Trust votes, elections and Trust business. So as to settle future controversies and contests, each of the said three (3) votes shall be apportioned among the heirs and assigns, one (1) vote each to Jackie Lee Stratton, Jimmy K. Stratton and Jerry G. Stratton. Voting in this Trust shall be apportioned as follows to the three (3) brothers /son, to- wit: 201503430 a. Jackie Lee Stratton - one (1) vote; b. Jimmy K. Stratton - one (1) vote; and c. Jerry G. Stratton - one (1) vote. That in the event of any failure to vote because of any reasons, such as death or disability, assignment or refusal to vote or participate of any one (1) or more of said brothers /sons, there shall continue to only be a total of three (3) votes (interests or shares) for this Trust Estate. That is one (1) out of the total of three (3) for the representatives, attorneys -in -fact, heirs, beneficiaries or assigns of any one (1) of the said three (3) brothers /sons, being Jackie Lee Stratton, Jimmy K. Stratton, and Jerry G. Stratton. 3. That Jackie Lee Stratton, as Trustee, will by reasonable and proper means notify Jimmy K. Stratton and Jerry G. Stratton, or their attorney of all planned and future expenditures of this Trust's funds at McClain Bank, Purcell, Oklahoma, Account # XXXX563, before made. 4. This case has proper jurisdiction and venue in McClain County District Court, as styled above, and it is agreed that jurisdiction and venue are exclusively here and this action will stay open in McClain County District Court so that the Trustee can and will report and account to this Court and the other brothers and heirs. Jerry Stratton will be notified through and by sending information to his attorney -in -fact and Jerry Stratton's attorney, Phil Hurst, Sulphur, Oklahoma. It is agreed that attorney John Mantooth, on behalf of the Trustee, Jackie Lee Stratton, will cosign
