�-. ^ <br /> � 20U000293 <br /> efforts to correct the problem, including bringing any necessary quiet title actions or other <br /> lawsuits. <br /> If an objection to title is based upon outstanding oil, gas or mineral leases, <br /> interests or reservations, the Conservancy may alternatively require Grantor to obtain <br /> such surface waiver or non-drilling agreements from the owner(s) of the outstanding <br /> interests as the Conservancy deems necessary to protect the Property for its use as a <br /> nature preserve. <br /> 12. DOCUMENTS FOR CLOSING. Grantor shall execute and deliver at <br /> closing a general warranty deed, any owner's affidavits or documents required by the title <br /> insurance company to remove the standard title policy exceptions, and any other <br /> documents necessary to close in accordance with the terms of this agreement. These <br /> documents will be prepared at Grantor's expense. <br /> The proposed deed and any other documents to be prepared by the Grantor for <br /> closing must be submitted to the Conservancy at least 15 days before closing. Any <br /> documents to be prepared by the Conservancy shall be provided to the Grantor at least 15 <br /> days before closing. <br /> 13. PROPERTY TAXES. Any delinquent real property taxes, all real property <br /> taxes which are due in the year of closing and all levied assessments are the Grantor's <br /> responsibility and should be satisfied of record by Grantor at or before closing, if <br /> possible. Any real estate taxes assessed against the property in the year of closing, but <br /> which are not yet due and payable, will be prorated to the date of closing based upon the <br /> most recent available tax statements. <br /> 14. MISCELLANEOUS CLOSING EXPENSES. Grantor will pay any <br /> documentary stamp tax, real estate transfer fee or any similar charge due upon <br /> conveyance of title to the Conservancy. The Conservancy will pay any escrow or closing <br /> fees. Recording fees will be paid according to local custom. Each party will pay the <br /> appraiser retained by each. If a third appraiser is appointed, each party will pay one half <br /> of such appraiser's fee. <br /> 15. POSSESSION. Grantor will deliver possession of the Property to the <br /> Conservancy at closing subject only to the following leases or reserved rights: none. <br /> 16. CONDITION OF PROPERTY/RISK OF LOSS. After the Conservancy <br /> exercises the right of first refusal, Grantor shall not transfer or encumber any interest in <br /> the Properiy prior to closing. Grantor shall remove all rubbish or trash, including any <br /> hazardous or toxic chemical substances or materials from the Property prior to closing but <br /> shall otherwise keep the Property in its current condition until closing and shall prevent <br /> - 12 - <br />
