201406877 <br />(e) Restrictive Covenants to Run With the Land. The restrictive covenants <br />herein shall be perpetual and shall run with the land and shall inure to and be binding <br />upon the parties hereto, their heirs, legal representatives, successors and assigns and all <br />parties claiming ownership of the Retained Property or the Purchased Property through <br />Elizabeth or Gian. <br />2. Easement. Gian hereby grants to Elizabeth as the owner of record of the <br />Retained Property and to all parties subsequently claiming ownership of the Retained <br />Property through Elizabeth a non - exclusive perpetual easement over, through and upon <br />the existing driveway located on the Purchased Property for reasonable ingress and egress <br />to the Retained Property. The terms and conditions of the easement are as follows: <br />(a) Rights of Easement. Gian grants and conveys the full and free right and <br />liberty for Elizabeth, and her heirs, legal representatives, successors and assigns and their <br />invitees, visitors, and licensees, at all times hereafter, with or without vehicles of any <br />description, for all purposes connected with the use and enjoyment of the Retained <br />Property for whatever purpose the Retained Property may from time to time lawfully be <br />used and enjoyed, to pass and re -pass along the said existing driveway on the Purchased <br />Property so established for the purpose of access to the Retained Property. <br />(b) Maintenance. Elizabeth agrees that at all times Elizabeth and her heirs, <br />legal representatives, successors and assigns shall have the responsibility to maintain and <br />make necessary repairs, at their expense, should the existing driveway on the Purchased <br />Property require same for its proper upkeep and maintenance. <br />(c) Easement to Run With the Land. The easement as granted herein shall be <br />a perpetual easement, is non - exclusive and shall run with the land and shall inure to and <br />be binding upon the parties hereto, their heirs, legal representatives, successors and <br />assigns and all parties claiming ownership of the Retained Property or the Purchased <br />Property through Elizabeth or Gian. <br />(d) Right of Enjoyment. Gian hereby agrees not to take any action that would <br />impede or interfere with in any manner the intended uses of the said easement by <br />Elizabeth, and her heirs, legal representatives, successors and assigns and their invitees, <br />visitors, and licensees, as described herein. <br />(e) Indemnification. Elizabeth and her heirs, legal representatives, successors <br />and assigns shall indemnify and hold Gian and her heirs, legal representatives, successors <br />and assigns, harmless from any liability in respect to the injury of any person while using <br />such easement with the permission or at the direction of Elizabeth and her heirs, legal <br />representatives, successors and assigns. <br />3. Right of First Refusal. Gian agrees not to sell, transfer or convey the Purchased <br />Property or any portion thereof except upon strict compliance with a Right of First Refusal in <br />favor of Elizabeth and her heirs, legal representatives, successors and assigns upon the following <br />terms and conditions: <br />3 <br />
