<br /> and other papers and recards now or hereafter used in the constructian, reconstruction, alteration,

<br /> ���Ail licenses, permits, certificates and agreements for the pro�ision of property or
<br /> ser�ices ta or in connect�on with, or atherwise benefiting, the Land andlor the Healthcare
<br /> Facility, any nursing home li�ense, assisted living facility license, any and al�
<br /> Med��aid.IMedicarelTRI�AREIC HAMPU S or �ther go�ernmental insurance prav ider
<br /> agreements �"Pro��der Agreements"}, and any ather license necessary f�r the pro��si�n of
<br /> servic�s at the Land andlor th� operation of the Health�are Facility. Pro�ided that this
<br /> Agreement sha�l be construed as granting to Secured Party a security interest, assigning
<br /> receivables, �1V1I7g CI�I171r11�I7 and control �r C��S1�Ila.t1l7� an attorney-in-fact with respect to
<br /> Go��rnment Recei�ables Accounts or �avernment Paymer�ts to the greatest extent permitted by
<br /> and not in v��lation of �i} applicable Iaw, now enacted andlor hereafter amended, and �i i} the
<br /> Provider Agreements. F�r purposes herein, "�o�ernment Receivable5 ACCUL1Ilt5" shall mean
<br /> separate deposit account�s} into which anly �overnment Payments are deposited, and
<br /> "Ga�ernment Paym�nts" shali m�an a payment from a governmental entity and shall include,
<br /> without limitation, payments governed under the S�c�al ��curity Act(42 U.S.�. §§ I395 et seq.},
<br /> including payments under Medicare, Medicaid and TR�CAREICHAMPUS, and payments
<br /> administered ar regulated by the �enters for Medicare and Medicaid Services of I]epartrnent of
<br /> H�alth and Human Services.
<br /> (g} Al� funds, manies, securities and other property held in escrow, lock h�xes,
<br /> depository or h�ocked accounts or as res�rves and all rights to recei�e �or ta ha�e distributed to
<br /> th� Master Tenant} any funds, moni�s, s�curities or property h�ld in escrow, �ock b�xes,
<br /> depos�tory or blocked accounts or as reser�es �ncluding l�ut not �imited to all of Master Tenant's
<br /> rights (if any} to any funds or amounts in that certain reser�e funds andlar residual r�ceipts
<br /> accounts created under any regulatory agr�ement required by the Secretary of Housing and
<br /> Urban De�elopment or the Federal Housing Administratian�ommissioner;
<br /> �h� A�1 accounts, a�caunts rec�ivabl�, general intangib�es, chattel paper, instrum�nts, and
<br /> any rights to payment evidenced by instrument�s}, documents, in�entory, gaods, cash, cash
<br /> pr�ceeds, bank accounts, deposit accounts, certificates of deposits, securities, insuran�e palicies,
<br /> �etters of credit, letter of credit rights, deposits, j udgments, liens, causes of action, warranties,
<br /> guaranties and all other pr�perties and assets of the Master Tenant, tangible or ir�tangible,
<br /> whether �r not s�milar to the p�operty described in this item �h}. As used herein, the term
<br /> "a�count� r��eivable" shall include ti} a11 healthcare insurance receivables, in�luding, but not
<br /> limited to Medicaid and Nledicare re�ei�ables, Veterans Administration or other governmental
<br /> receivables, private patient recei�ables, and HM� 1� recei�ables;��ii} any payments due or to be
<br /> made to the Master Tenant relating to the Land �r �iii} ali other rights of th� Master Tenant to
<br /> receive payment of any k�nd with respect to the Land;
<br /> (i} Al� bo�ks, rec�rds and files of what��er type or nature relating ta any or all of the
<br /> proper�y or interests in property des�ribed herein or the proceeds thereof,whether or nat written,
<br /> stored electron�cally or electromag�etically or in any other form, and whether or not such bo�ks,
<br /> records, or f les constitute accounts, equipment or g�r�eral intangibles.
