UPERATI�NS TRANSFERIC��PERATI�N IN EVENT �F SUBLEASE <br /> TERMINATI�N. For this purpos�, and to the extent not prohibited �y applicahle <br /> law with respect to the Healthcare Facility Assets, the Master Tenant irrevocably appoints <br /> Secured Party, its successors and assigns, as the Master Tenant's true and lawful attorney-in-fact, <br /> to do atI things necessary or reyuired by th� State in which the Project is located or any �ther <br /> �avernment entity w�th jurisdiction over the Project, including, but not limited to, the pro�isian <br /> � of any and all information and dates,the payment of fees and oth�r charges, and the ex�cution �f <br /> . <br /> documents, all in the name of the Master Tenant.
