Further, Master Tenant cn�enants that it shal� �htain a DA�A o�er any new deposit account it obtains, unless Secur�d Party permits otherwise. Master Tenant also covenants that it sha�l nat terminate any DACA without the priar written consent of the Secured Party. In the ��ent that Master Tenant recei�es notice that the I�ACA �s to he or has been terminated by the depository institution that is a party to such DA�A, the Master Tenant shali promptly make alternati�e arran�ements ta establish a ne�v DA�A with the prior written cor�s�nt of the Secured Party and shall direct al1 future re�ei�ab�es tn be paid �nto the deposit account�s} specified in such new DA�A. �d} If Master Tenant takes any actinn that negates, in�alidates ar otherwise ad�ersely impacts the effect�veness �f the f nancing statements filed pursuant to this Secti�n, except such actions permitted in this Agreement, Master Tenant shall immediately notify Secured Party of such actian and cooperate with Se�ured Party to the extent necessary to file any amendments ar additi�nal financing statements. 15. UPERATI�NS TRANSFERIC��PERATI�N IN EVENT �F SUBLEASE TERMINATI�N. Upon ea�er�ise of the S�cured Party's rights and remedies as a result af any E�ent of I3efault, or the expirat�or� �r oth�r t�rmination of any Subiease, the Master Tenant shali co�p�rate in any legal ar 1a�vful manner necessary or requ�red t� permit Secured Party, It5 success�rs and assigns, n�min�e, or a HUD appra�ed replacem�nt operator("Successor"} of any affected Healthcare Facility to �antinue tn operate and maintain such Healthcare Facil�ty for the Appro�ed Use lI7 the Master Tenant's or �perator's name, place and stead, including the execution and deli�ery of such operations transfer dacuments andlor interim sublease or management agreem�ntslcertifications as may be necessary or appropriat� in order that Successor may b�ll and operate in name of the Master Tenant or �perator pend�ng receipt of a new licens� in Successar's name. For this purpos�, and to the extent not prohibited �y applicahle law with respect to the Healthcare Facility Assets, the Master Tenant irrevocably appoints Secured Party, its successors and assigns, as the Master Tenant's true and lawful attorney-in-fact, to do atI things necessary or reyuired by th� State in which the Project is located or any �ther �avernment entity w�th jurisdiction over the Project, including, but not limited to, the pro�isian � of any and all information and dates,the payment of fees and oth�r charges, and the ex�cution �f . documents, all in the name of the Master Tenant. This p�wer is coupied with an interest and is irrevocable. 17. INTEREST.
