MASTER TENANT <br /> FURTHER A�KN�WLED�ES THAT SUCH �AIVER �F THE RIGHT T� A TRIAL BY <br /> JURY IS MADE AFTER C�NSULTATI�N WITH C�UNSEL. <br /> 14. TERM �F AGREEMENT. The term of this Agreem�nt will begin on the date <br /> �f this Agreement and cantinu� in fu�l for�e and effect and be bind�ng on the Master Tenant until <br /> the date that ail of th� �bligations are fully and finally paid and satisfied. <br /> 15. PERFECTI�N; FURTHER ASSURANCES. <br /> (a) The Master Tenant agrees to comply with all applicable �aws and reyuirements in <br /> �rder to grant to the Secured Party a valid,p�rfected first Lien on the �ollateral. At any time and <br /> from time to time, the Master Tenant, on r�qu�st of the Secured Par�y, wili gi��, author�ze, <br /> execute, authenticate, file andlor record any notice, financin� statement, instrument, document � <br /> or agreement that the S�cured Party may consider necessary or desirable t� create, preserve, <br /> continue, perfect or �alidate any s�curity interest or other L�en granted under this Agr��ment or <br /> which th� Secured Par�y may cansider necessary �r d�sirable to exercise or enforce its rights <br /> under this Agreement. Master Tenant shali, at its expense, pra�ide Secured Party upon its <br /> request (and �n any event, within farty-five �45} days of the date her�o�} with ane or mare UC� <br /> search reports with respect to each office in which a LJ�C filing may be required in order far <br /> Secured Party t� �alidly perfect its security interest in any flr all Collateral, confirming that a <br /> U�� financing statement has been fiied in such off ce �in fa�or af Secured Par�y and that there <br /> are no other U�C financing statem�nts in effe�t with r�spect to any �f the Collat�ra� except thos� <br /> in fa�or af Secured Party and Permitted Liens. The Master Tenant sha�l pay all filing costs, and <br /> al� costs and expens�s of any record searches for financing statements. Without limiting the <br /> generality of the foregoing, the Secur�d Party is authorized to file with respect to the Collateral <br /> ane �r more financing statements or other d�cuments with�ut the signature of the Master Tenant <br /> and to name therein the Master Tenant as debtor and the Secured Party andlor HUD as secur�d <br /> parties; and correct or complete, or cause to be corrected �r completed, any financir�g statements <br /> or other such documents as ha�e been filed naming the Master Tenant as debtor and th� Secured <br /> Party andlor HUD, as their interests may appear, as secured parties. Master Tenant hereby <br /> authenticates su�h f�lings. <br /> �b} The Master Tenant hereby appoints the Secured Party as its attorn�y-in-fact and <br /> autharizes the Secured Party, acting alone an behalf of the Mast�r Tenant, to �xecute, <br /> acknow�edge, deli�er, file andl�r record any and all docum�nts requiring �xecutinn by the <br /> Mast�r Tenant �and necessary ar desirable to �ffectuate or facilita.te the purposes of this <br /> Agreement andlor the obligations or covenants of the Master Tenant under this Agreement. The <br /> power of att�rney grar�ted hereby is c�upled with an interest and is irre�ocable. The Secured <br /> Party is also auth�rized by the Master Tenant to gi�e notice to any person that the Se�ured Party <br /> may consider necessary ar desirable under appliGable law to preserve, perfect or �rotect the <br /> S�cured Party's and or HL�I]'s interests in the �ollateral.
