The occurrence of any one ar m�re of the f�ll�win� <br /> shall c�nstitute a "Vi�lati�n" und�r th�s Agreement: <br /> a. Any failure by Borrower to comply w�th any of the pr��isions of this Agreem�nt; <br /> b. Any fraud ar material misrepr�s�ntation �r material omission by B�rrower, any vf its <br /> officer�, directars, trustees, general partn�rs, members, managers or managing agent �n <br /> connection w�th ��} any financial statement, rent ro�! or other repart or informatian <br /> provi�ed to HUD during the term af this Agreement ar �2} any request f�r HUD's <br /> consent t� any prop�sed action, �ncluding a requ�st f�r d�sburs�ment of funds from any <br /> restriGted account for wh�ch HUD's �rior written appro�a� is required; andlor <br /> c. The commenc�m�nt �f a forf�iture action �r proc�eding, wheth�r �i�il ar criminal, <br /> whiGh, in HIJD's reasonabfe ju�gm�nt, c�uld result in a f�rfeiture of the Mortgaged <br /> Prop�rty or otherwise materially impair H U D's inter�st in the IVl�rtgaged Pro�erty. <br /> 38.DECLARATI�N �F DEFAULT. <br /> a. At any tim� d u ring the ex�stence of a Vio�ati�n, H U D may g i�e written N�t�ce of the <br /> Violation to Borrovv�r, by register�d or �er�ified maii, addressed to the addresses stated <br /> in tnis Agreement, vr such �ther ad�resses as may su�sequently, upon appropriate <br /> written Natice to HUC], be d�signated by Borrower as its I�gal business address. If, <br /> after recei��ng writt�n Notice af a Vi�lation, that Violation is not �orre�t�d to th� <br /> satisfa�tian of HUD either within thirty �3�} days after th� date Notic� is ma�led, ar within <br /> such short�r or ionger time set forth �n said Noti�e, HUD may declar� a default und�r <br /> this Agr��m�nt without further N�ti�e. A�ternati�ely, in order to prat�Gt the h�alth and <br /> safety af th� t�nants, H U D may dec�are a defau�t at any time during the exist�n�e of a <br /> Vi��ation with�ut pra�iding prior written Notic� af the Vi�lation. <br /> b.
