<br /> Section 11. No Co�lfct With Other Dbcuments. The Owner warrants that it has not executed and will
<br /> not execute any oth�r agr�ement vvith provisions contradictory to,or ia ogposition w,the grovisions hereof and
<br /> that, in any event, the requirements of this ARreement are paramount and controUing as to the rIghts and
<br /> obligations herein set forth and supersede any other requirements in coaflict herein.
<br /> Section 12. .Fees, Relaase and Indemn�cation. The Owner agrees to pay the Authorlry as an
<br /> application fee a nonrefundable fee, the greater of l,9b of the annual credit requested or $500. The Owner
<br /> agrxs to pay t�e Authority a� a reservationlcotnmianent fee the greater of 2� of the annual credit amount
<br /> received or S500. In addidon, the Owner agrees to gay the Authority an allocation fee of 29b of the annual
<br /> credit alloaated and an annual fee e9ua1 to the greater of 29b of the anuual credit allocated or$500. Any
<br /> extraordina�y legal fees incurred by the Authority with respoct to the Prnject will be paid by the Owuer. Tl�
<br /> Owner bereby agtees to pay, indemnify and hold the Authorlty harmless &om any and all costs,expenses and
<br /> fees,including all reasonable attorneys'fees which may be incurred by the Authority in enforcing or attempting

<br /> any opinion to be rcnderod hereuader). The Owner agrees W releasc the Authority from any claim, loss,
<br /> demai�d or judgment as a result of the allocation of tax credit dollars to the Project or the recapwre of same
<br /> by the Inxernal Revenue Service. ancl to indemnifY the Authority for any claim, loss, demand or judgment
<br /> against the Authority as the nsult of an aUocation of tax cre�it dollars to the Project or the rxapture of same
<br /> by the lnternal Revenue ServicC. .
<br /> Section 13. S�veroblltly. The invalidity of any claiise, pact or provision of this Agreement shall not
<br /> affxt the valid'sty of the remaining portions theneof.
<br /> Section 14. Noh'ces. All notices to be given pursuant to this Agreement shall be in writing and shall
<br /> be deemod given when mailed by certified or registered mail, retttm receiPt nquested,to the parties hereto at
<br /> the addresses set forth below,or to such other place as a party may from time to time designate in writing:
