MANNING and <br />WOODRING/POEHLER covenant and agree to repair any damage done to the HALLER <br />Easement Area caused by MANNING and WOODRING/POEHLER's use, maintenance, repair or <br />replacement of the natural gas line. <br />4. Covenants of WOODRING/POEHLER. WOODRING/POEHLER covenant and <br />agree to repair any damage done to the MANNING Easement Area caused by <br />WOODRING/POEHLER's use, maintenance, repair or replacement of the natural gas line. <br />5. Covenants of HALLER. HALLER agrees that they will not obstruct or interfere <br />with MANNING and WOODRING/POEHLER's rights hereunder. <br />6. Covenants of MANNING. MANNING agrees that they will not obstruct or <br />interfere with WOODRING/POEHLER's rights hereunder. <br />7. Indemnification. MANNING and WOODRING /POEHLER agree to indemnify <br />HALLER and to hold them harmless from and against any and all claims arising out of its use of <br />the HALLER Easement Area, or by any of his guests or invitees; provided that this <br />indemnification shall not extend any liability arising out of acts or omissions of HALLER, or of <br />their agents or employees. <br />8. Indemnification. WOODRING/POEHLER agree to indemnify MANNING and to <br />hold them harmless from and against any and all claims arising out of its use of the MANNING <br />Easement Area, or by any of his guests or invitees; provided that this indemnification shall not <br />extend any liability arising out of acts or omissions of MANNING, or of their agents or employees. <br />9. Term of Easements. These easements shall be permanent, and shall run with the <br />land. The easements created hereby are superior the rights of the parties or their successors in <br />the respect of serving the estate so created. <br />10. Restoration of Surface. MANNING and WOODRING/POEHLER agree to restore <br />the surface of the HALLER Easement Area to its condition immediately preceding the <br />commencement of construction of activities hereunder, whether said work is required immediately <br />upon following the completion of construction or later, if the condition being restored is caused by <br />MANNING and WOODRING/POEHLER's construction activities. <br />11. Restoration of Surface. WOODRING/POEHLER agree to restore the surface of the <br />MANNING Easement Area to its condition immediately preceding the commencement of <br />construction of activities hereunder, whether said work is required immediately upon following <br />the completion of construction or later, if the condition being restored is caused by <br />WOODRING/POEHLER' s construction activities. <br />Page 3 of 6 <br />
