201301273 WHEREAS, the Village and Verizon Wireless wish to file this Memorandum of record in the Recorder's Office of Hall County, Nebraska to provide record notice to third parties of Verizon Wireless' leasehold interest in a portion of the Premises; NOW, THEREFORE, for and in consideration of the covenants and promises of the Parties set forth herein and in the Lease, and for other good and valuable consideration, the receipt, adequacy and sufficiency of which are expressly acknowledged by the Parties, the Village and Verizon Wireless agree and acknowledge for themselves and their respective successors and assigns, as follows: 1. Upon, subject to, and in consideration of the terms and conditions set forth in the Lease, the Village subleases a portion of the Premises to Verizon Wireless. 2. The initial five (5) year term of the Lease expired on December 17, 2006 and Verizon Wireless has the option to extend the term of the Lease for four (4) additional five -year renewal terms upon the terms and conditions set forth in the Lease. 3. Verizon Wireless has the right of first refusal to obtain a communications easement under the Premises during the initial term and all renewal terms of the Lease. 4, This Memorandum contains only selected provisions of the Lease and reference is made to the full text of the Lease for the full terms and conditions.
