WHEREAS, pursuant to Article VI of the Restrictive Covenants, the Restrictive
<br />Covenants may be amended at any time by an instrument signed by the then Owners of a
<br />majority of the lots that comprise the Subject Property. As such, the Owners of a majority of the
<br />lots that comprise the Subject Property must approve this Amendment for said Amendment to be
<br />effective; and

<br />WHEREAS, Starostka Rentals, L.L.C., a Nebraska limited liability company
<br />( "Starostka "), the Owner of a majority of the lots that comprise the Subject Property, desires to
<br />have Lot Seven (7) and Lot Eight (8), Block Eight (8), Sterling Estates Subdivision, in the City
<br />of Grand Island, Hall County, Nebraska become subject to the Restrictive Covenants.
<br />NOW, THEREFORE, it is agreed as follows:
<br />1. The recitals appearing hereinabove are hereby specifically incorporated herein
<br />and made a binding part of this Amendment by this reference.
<br />2. Article I shall hereinafter appear and read as follows:
<br />I.
<br />DECLARATION OF PURPOSE
<br />The purpose of this DECLARATION OF RESTRICTIVE COVENANTS,
<br />RESTRICTIONS AND CONDITIONS FOR STERLING ESTATES HOMEOWNERS
<br />ASSOCIATION, is to declare the desire of Declarants to improve the following real
<br />estate by encouraging the sale of lots and the construction of detached single family
<br />dwellings and Townhouses:
<br />Block Three (3), Lots One (1) through Eight (8), Sterling Estates Subdivision, in
<br />the City of Grand Island, Hall County, Nebraska;
<br />Block Seven (7), Lots One (1) through Eight (8), Sterling Estates Subdivision, in
<br />the City of Grand Island, Hall County, Nebraska; and
<br />Block Eight (8), Lots One (1) through Eight (8), Sterling Estates Subdivision, in
<br />the City of Grand Island, Hall County, Nebraska.
<br />In furtherance of this purpose, Declarants hereby declare that the lots of the
<br />property described above, shall be held, sold and conveyed subject to the following
<br />reservations, easements, limitations, restrictions, servitudes, covenants, conditions,
<br />charges and liens, (hereinafter collectively termed "covenants and conditions "), which are
<br />for the purpose of protecting the value and desirability of the lots herein described
<br />comprising STERLING ESTATES HOMEOWNERS ASSOCIATION, and which shall
<br />run with the real property and be binding upon all parties having any right, title or interest
<br />in one of the described lots, or any part, their heirs, successors and assigns, and which
<br />shall inure to the benefit of each owner thereof.
