20120654� 2. Truck Scale. Grantor and Grantee acknowledge and agree that both parties will be permitted to use the truck scale. Grantor and Grantee agree that the parties may establish reasonable rules and regulations to govern the use of the truck scale. Both parties shall be required to consent to the rules and regulations governing such use. Consent to such rules and regulations shall not be unreasonably withheld. Any rules and regulations created hereunder shall be reduced to writing and shall be signed by both parties. Grantor and Grantee shall have the right to reasonably modify the exact location of the easement area on the Burdened Property, from time to time, as long as the easement area is sufficient for Grantee to reasonably access and use the Truck Scale. The parties may, from time to time, mutually depict or more particularly describe the easement area on the Burdened Property. 3. Binding Effect. This Easement shall be permanent and shall be appurtenant to and run with the Burdened Property and the Benefitted Property. The grant of this Easement shall also be binding upon the heirs, executors, administrators, successors and assigns of Grantor and Grantee. 4. Liability. The sole rights granted herein are the rights to use the Burdened Property for the purposes described herein, and each parry shall be liable to the other party for any damage caused by the use of the Burdened Property by them or their employees, invitees, agents, successors or assigns, contrary to the terms of this Easement. There shall be no liability on Grantee, its successors and assigns and persons occupying or lawfully present on the Burdened Property for damage, if any, which may be caused by normal and reasonable use of the Burdened Property by vehicular traffic using the truck scale. 5. Termination. This Easement shall not be released, terminated, revoked, amended, or modified in any manner, without written consent of the parties. Any puzported release, termination, revocation, amendment, or modification without such written consent shall be null and void and of no force and effect. 6. Other Agreements. This Easement shall constitute the entire easement and agreement between the owners of the Burdened Property and the Benefitted Property with respect to the subject matter hereof. 7. �rther Assuraaces. Each undersigned party will, whenever it shall be reasonably requested to do so by the other, promptly execute, acknowledge, and deliver, or cause to be executed, acknowledged, or delivered, any and all such further conveyances, confirmations, instruments, or further assurances and consents as may be necessary or proper, in order to effectuate the covenants and agreements herein provided. Each of the undersigned parties shall cooperate in good faith with the other and shall do any and all other acts and execute, acknowledge and deliver any and all documents so requested in order to satisfy the conditions set forth herein and carry out the intent and purposes of this Easement. 2 of 5
