<br /> A. FORCE MAJEURE. Each Party shall be exc�ssed &om perfornung any
<br /> ob�igation or undertsking provided in this REA, exr,ept ar►y obGgado�ns to pay ar►y suc^�of
<br /> money under the eppliaeble provisions hareo� in the eveat nnd sa long as the perforia�,s,nce
<br /> of any such obGgation is pravented or delayed, retuded or }iindered by act of God, fire,
<br /> earthquake,floods,explos�on,actions of the elements,war,invasion, insurrection,riot,mab
<br /> violence� sabotage, inability to procure or general shortage of labor, equipmsnt. facilities,
<br /> ma3erials,or suppbers in tht apen market,falure of transportabon,strikes,lockouts, action
<br /> nf labor unions, con�lemnation,requisition,laws,orders of governmentel or civil or military
<br /> or naval nutharities, ur any other cause, whether similar or dissirniler to the foregoing,not
<br /> witlrin the respective control of such Party.
<br /> ARTIGLE IV

<br /> A. BREACH SHALL NOT PERMYT TERMINATION. It is expressly agteed —
<br /> t}�at no breach of this REA shall �nqtle any Party to cancel, or rescind or otherwise
<br /> terminate this REA, but such limitntion shaU not at�'ect. in any �iu. nuY �ther right or
<br /> remedies wkich the Parties may have hereunder by reason of any breach of this R�A.
<br /> B. CAPTIONS. The captions of the paragrephs and Articles of this REA are
<br /> for conveaience only end shaU not be considered nor referrexl to in resolving questions of
<br /> interpretadon snd constniction.
<br /> C. CONSENf. In any instance in which any Peuty to this REA shaU be
<br /> requested to conscnt to or a� rove of any matter with respcct to which such Party's
<br /> coasenal shallpbe given i�writingbYand the samc rmay tbe given or r�sed in the sole end
<br /> ab,spolute judgment of such P�rty.
<br /> D. BENEFITS. Each and all of the provisions of thia REA on the Perties'part
<br /> to be perfonned(whether affinnarive or negative�n natwe) ere intended to and shall bind
<br /> each and every Person, Party,firm,association,tt�e Parties and their successors and assigns
<br /> and shall inure to the benefit of all Occupants and their resp�ctive successors in title or
<br /> interest.
<br /> g, BINDJNG ON FUTIJRE PARTIES. Each and all of the covenants of the
<br />- Pxrties herein are also intended to, and shall run with and against the Site and shall bind,
<br /> each and eve�► other Party and each and every other Persc�n having any fee, leasehold or
<br />- other intGrest in anY part of any Parcel, at any time and fro�nn time to time, sienved through
<br /> the respective Parttes to the extent that such part of a Parcel is affected or bound by the
<br /> covenants in question, or that such covenant is to be perfonned thereon, a�d shall inure to
<br /> - the benefit of all Occupants.
