201205634 WHEREAS, the parties desire to effectuate such assignment and assumption by executing this Agreement. NOW, THEREFORE, in consideration of the foregoing recitals, the mutual covenants herein contained and other good and valuable consideration, the receipt of which is hereby acknowledged, and intending to be legally bound hereby, the parties agree as follows: 1. Assignment of Right, Title and Interest. Assignor hereby assigns, transfers and conveys to Assignee all of Assignor's right, title and interest in, to and under the Lease. Nothing contained herein shall be deemed to relieve Assignor of any of its obligations under the Lease with respect to any and all periods, occurrences and matters prior to June 28�', 2012. 2. Assumption of Obli�ations under Lease. Assignee hereby assumes and agrees to perform and discharge all of the obligations and liabilities of Assignor under the Lease arising or accruing from and after June 28�', 2012. 3. Successors and Assi�ns. This Agreement, and all rights and powers granted hereby, shall bind and inure to the benefit of the parties hereto and their respective successors and assigns. 4. Governing Law.
