<br />ASSIGNMENT AND ASSUMPTION AGREEMENT

<br />This Assignment and Assumption Agreement is made and entered into on this 28�' day of
<br />June, 2012 (the "Agreement") by and between JOSEPH JAY VAVRICEK, (as to an undivided
<br />sixty percent (60%) interest), and JANET R. VAVRICEK, (as to an undivided eight percent
<br />(8%) interest), husband and wife, and ALAN R. USHER and JOANNA L. USHER, (as to an
<br />undivided thirty-two percent (32%) interest, as joint tenants with rights of survivorship), husband
<br />and wife, (collectively "Assignor"); and GI FAMILY RADIO ENTERTAINMENT, L.L.C., a
<br />Nebraska limited liability company ("Assignee").
<br />WITNESSETH:
<br />WHEREAS, Assignor is the Tenant under a certa.in Lease Agreement between Thomas
<br />Atkins, as Landlord, and JRK Broadcasting, L.L.C., as Tenant, dated January 12, 2001, (the
<br />"Lease") by virtue of: (i) an Assignment and Assumption of Lease recorded as Document No.
<br />200401097 in the Office of the Hall County Register of Deeds; (ii) an Assignment and
<br />Assumption Agreement recorded as Document No. 200505417 in the Office of the Hall County
<br />Register of Deeds, and (iii) an Assignment and Assumption Agreement dated June 28, 2012,
<br />between Legacy Communications, L.L.C. and Assignor, recorded as Document No.
<br />in the Office of the Hall County Register of Deeds, in connection with the
<br />following described real estate:
<br />A tract of land comprising all of that part of Lot (1), Mainland in Section One (1),
<br />Township Ten (10) North, Range Ten (10) West, Hall County, Nebraska, lying
<br />South of a line which is One Hundred (100.0) feet South of and parallel to the
<br />centerline of a power line belonging to Nebraska Public Power District, the
<br />westerly end of which is located approximately Two Thousand Six Hundred
<br />Fifteen and Five Tenths (2,615.5) feet South of the Northwest corner of said
<br />Section One (1), as more particularly described in said Lease Agreement dated
<br />January 12, 2001;

<br />WHEREAS, Assignor desires to assign all its right, title and interest in and to the Lease
<br />to Assignee and Assignee desires to accept the assignment of such Lease and assume the
<br />obligations and liabilities of Assignor under the Lease from and after June 28` 2012; and
