<br />THIS OPTION MADE AND ENTERED INTO by and between Paul E. Graham and
<br />Elaine E. Graham, husband and wife (hereinafter referred to as "the Graham parents"), and
<br />Michael P. Graham and Michelle E. Clark (hereinafter referred to as the "Graham children").
<br />WI�REAS, from and after the death of the survivor of the Graham parents, the Graham
<br />parents desire to provide the surviving Graham children with the option to acquire certain real
<br />property ofthe Graham parents should any one or more ofthe Graham children desire to sell their
<br />interest in such real property.
<br />NOW, TI�REFORE, in consideration of estate planning and other valuable consideration,
<br />the Graham parents agree as follows:
<br />1. GRANT OF OPTION. The Graham parents hereby grant equally to the Graham
<br />children or, upon the death of either of the Graham children, to the survivor of the Graham
<br />children (hereinafter referred to as the "OPTIONEE", whether one or more), the exclusive option
<br />to purchase all of the Graham parents' right, title, and interest in and to any part or portion of the
<br />following described real property (hereinafter referred to as the "said real estate"):
<br />The South Half of the Southeast Quarter (S'/ZSE) of Section Eighteen (18),
<br />Township Ten (10) North, Range Eleven (11) West of the 6th P.M., Hall
<br />County, Nebraska, EXCEPTING therefrom a tract of land deeded to the
<br />City o�f Wood River, Nebraska, in the Warranty Deed recorded as
<br />Document No. 76-003712 in the Register of Deeds Office, Hall County,
<br />Nebraska; and
<br />The Northeast Quarter of the Northeast Quarter (NE'/aNE'/4) and the
<br />Southeast Quarter of the Northeast Quarter (SE'/4NE of Section
<br />Nineteen (19), Township Ten (10) North, Range Eleven (11) West of the
<br />6th P.M., Hall County, Nebraska, EXCEPTING therefrom a tract
<br />conveyed to the City of Wood River, Nebraska, by Deed recorded in Book
<br />48, Page 159 in the Register of Deeds Office, Hall County, Nebraska, and
<br />FURTHER EXCEPTING therefrom a tract of land conveyed to the City
<br />of Wood River, Nebraska, by deed recorded as Document No. 79-003714
<br />in the Register of Deeds Office, Hall County, Nebraska;
<br />together with all improvements thereon and subject to all easements thereto (whether held individually
<br />in their names or as subsequently conveyed by the Graham parents to other persons), at such time
<br />as any one or more of the Graham children, or their heirs, personal representatives, successors or
<br />assigns, sha11 desire to sell any part or portion of the said real estate.
<br />2. PERIOD OF OPTTON. This option shall axise upon the death of the survivor of the
<br />Graham parents, and sha11 continue until sucn time as neither of the �raham ctriic�ren is then living
<br />or at such time as there is no OPTIONEE that is willing to pay the purchase price as established
<br />under paragraph 4 of this Ageement, at which time this entire option agreement shall expire and be
<br />of no further force and effect. Upon the expiration of this option, the Graham children, their heirs,
<br />personal representatives, successors or assigns, shall have no further rights or claims against the other
