RESOLUTION#14- 6o!-) A RESOLUTION TO WITHDRAW HALL COUNTY'S OFFER TO PURCHASE THE "ONE STOP BUILDING" LOCATED AT 1306 W 3RD STREET, FROM THE CITY OF GRAND ISLAND WHEREAS,on December 4, 2013,the County of Hall,Nebraska, in response to a request for a proposal published by the City of Grand Island,Nebraska,submitted a proposal for the purchase of the real estate and improvements located at 1306 W. 3rd Street,Grand Island,Nebraska,from the City of Grand Island; and WHEREAS,on or about December 12,2013,the City of Grand Island,through legal counsel, conveyed its interest in pursuing a purchase agreement for the aforementioned real property to legal counsel for the County of Hall; and WHEREAS, on January 14, 2014, the Hall County Board of Supervisors considered and approved a proposed Purchase Agreement for the purchase of the aforementioned real property from the City of Grand Island, and authorized the Chairman of the Hall County Board of Supervisors to execute the same; and WHEREAS,on January 14, 2014,the County of Hall caused said signed purchase agreement to be submitted to the City of Grand Island for approval; and WHEREAS,paragraph 2.1.4 of said purchase agreement provided that the Buyer may obtain such inspections of the property as Buyer may desire;said paragraph further provided that Buyer may terminate the agreement without penalty if Buyer is dissatisfied with the condition of the real property or if the real property is found not to be in compliance with applicable occupational safety and health standards; and WHEREAS,the County of Hall has conducted inspections of the subject real property and has determined that the water service to the real property is wholly inadequate for the County's intended use of the building; and, further, the County's inspections of the subject real property reveal that the HVAC system in the building is also wholly inadequate for its intended use of the building; and WHEREAS, the request for proposals from the City of Grand Island clearly and conspicuously provided that any sale of the real property would be in"as is"condition; and WHEREAS,the City of Grand Island has not formally or otherwise acted to accept the County of Hall's offer to purchase the subject real estate, nor, to the County's knowledge, has the City acted or failed to act to its detriment in reliance upon the County's offer to purchase the real estate. NOW, THEREFORE, BE IT RESOLVED that the County of Hall, Nebraska, hereby withdraws its offer to purchase the real estate located at 1306 W. 3rd Street, Grand Island,Nebraska, from the City of Grand Island.
