<br />Attorney Janulewicz presented resolution in regard to reconveyance of certain
<br />property to Diamond Plastics Corporation as part of Hall County Industrial
<br />Development Revenue Bonds Series 1983.
<br />Motion by Abernethy, seconded by Leslie to adopt Resolution #1492 as
<br />presented. Abernethy, Frauen, Hartman, Landis, Leslie, Quandt and Stelk voted
<br />yes, none voted no. Motion carried.

<br />A RESOLUTION REGARDING THE RECONVEYANCE TO DIAMOND PLASTICS
<br />
<br />CORPORATION, OF CERTAIN PROPERTY ACQUIRED AS PART OF THE COUNTY
<br />OF HALL, NEBRASKA INDUSTRIAL DEVELOPMENT REVENUE BONDS (DIAMOND
<br />PLASTICS CORPORATION PROJECT) SERIES 1983.
<br />
<br />WHEREAS, the County of Hall, Nebraska, is the owner of .
<br />
<br />certain real property, described in "Exhibit A" which is attached
<br />
<br />hereto and incorporated herein by reference, and personal
<br />property, described in "Exhibit B" which is attached hereto and
<br />incorporated herein by reference, which property is krnown
<br />collectively as the Diamond Plastics Corporation Project (herein
<br />
<br />called "the Project"), and
<br />
<br />WHEREAS, pursuant to the $1,700,000 County of Hall, Nebraska
<br />
<br />Industrial Development Revenue Bonds (Diamond plastics
<br />Corporation Project) Series 1983, the County of Hall, Nebraska,
<br />
<br />hereinafter referred to as "Issuer", entered into a Lease
<br />
<br />Agreement with Diamond Plastics Corporation, a Delaware
<br />
<br />Corporation, hereinafter referred to as "Company", wherein the
<br />
<br />Company was granted an option to purchase the project from the
<br />Issuer upon termination of the Lease Agreement following full
<br />paYment of the aforesaid bonds, and
<br />
<br />WHEREAS, the Trustee, NationsBank of Texas, N.A., formerly
<br />
<br />. First RepublicBank Houston, N .A., formerly InterFirst Bank,
<br />
<br />Houston, N.A., has certified that the aforesaid bonds have been
<br />
<br />paid in full and has released and discharged the Indenture of
<br />
<br />Trust and Mortgage made by the County of Hall, Nebraska and has
<br />released, assigned and delivered unto the County of Hall,
<br />Nebraska any and all of Trustee's estate, right, ti tIe and
<br />interest in and to the Project.
<br />
<br />NOW, THEREFORE, IT IS RESOLVED that the Hall County,
<br />Nebraska County Board of Supervisors hereby finds that all
<br />
<br />conditions precedent to conveyance of the project to Diamond
<br />Plastics Corporation, a Delaware Corporation, have been
<br />
<br />satisfied. The Chairman of the County Board of Supervisors is
<br />hereby authorized and directed, for and in the name and on behalf
<br />
<br />of the County, to execute the deed and bill of sale conveying the
<br />
