<br />This Assignment is by and between:

<br />Superior Mortgage, Inc.,,a corporation (hereinafter referred
<br />to as Assignor); and
<br />FEDERAL NATIONAL MORTGAGE ASSOCIATION
<br />(hereinafter referred to as Assignee);
<br />WHEREAS, Assignor is the payee under a Promissory Note dated October 15,
<br />1986 , in the principal amount of Two Million and No /100---- ---------
<br />--- ---------------------------------------- ( $2,000,00MUO Dollars
<br />executed-by Herbert F. Mayer, Jr., an individual
<br />as makers, in the form attached
<br />hereto as Exhibit A; and
<br />WHEREAS, to secure said Promissory Note, Assignor has received an
<br />Assignment of rents and leases from the makers of said note; and which
<br />WAS RECORDED Ortnbpr I S. 19A6 ae nne. g..8fi , PAGE1058i2 , and
<br />WHEREAS, Assignee has committed to purchase said loan from Assignor
<br />pursuant to its commitment issued September 15, 1986 ;
<br />Assignor in consideration of the mutual covenants contained herein,
<br />and specifically in consideration of delivery of the purchase price for
<br />the purchase of said loan as provided in the September 15, 198fcommitment
<br />to purchase said loan, hereby sells, assigns and transfers
<br />to Assignee all right, title, and interest in and to the Assignment of
<br />Rents and Leases, and authorizes Assignee to do every act and thing necessary
<br />to collect and discharge the same.
