86- 101329 <br />ASSIGNMENT AND ASSUMPTION OF <br />LEASE AND OPTION TO PURCHASE <br />This Agreement, made this day of March, 1985, between <br />BEVERLY ENTERPRISES- NEBRASKA, INC., a California corporation <br />(hereinafter the "Assignee "), and MED WEST HEALTH CARE MANAGEMENT <br />CORPORATION, a South Dakota corporation (hereinafter the <br />"Assignor "), <br />For Five Dollars ($5.00) and other valuable consideration, <br />the receipt and sufficiency of which is hereby acknowledged, the <br />Assignor hereby grants, transfers, assigns and warrants to the <br />Assignee, its successors and assigns, that certain Lease (the <br />"Lease ") involving the operation of a nursing home facility known <br />as Heritage Village of Grand Island (North), located in Grand <br />Island, Nebraska (the "Premises "), dated September 16, 1983 <br />between Garth A. Otis and Anthony Wheeler, as Landlord, and Med <br />West Health Care Management Corporation as Tenant, which Lease <br />was amended by Amendment to Lease dated February 24, 1985, and <br />Amendment No. 2 to Lease dated January 29, 1985, which Lease is <br />more particularly identified upon Exhibit "A ", and made a part <br />hereof as if set forth herein word for word, together with any <br />modifications, amendments, renewals and extensions of any kind <br />thereof, if any, also more particularly identified upon Exhibit <br />„A„. <br />Assignor further grants, transfers, assigns, and warrants to <br />Assignee, its successors and assigns, that certain Option to <br />Purchase said facility as set forth in an Option to Purchase Real <br />Property (the "Option ") dated June 19, 1983, between Sublessors <br />and Assignor, which Option is more particularly identified upon <br />Exhibit "A" and made a part hereof as if set forth herein word <br />for word, together with any modifications, amendments, renewals <br />and extensions of any Kind thereof, if any, also more particu- <br />larly identified upon Exhibit "A ". The legal description of the <br />real properties encumbered by the Lease and Option is attached <br />hereto as Exhibit "B ". <br />Assignor hereby covenants and warrants to Assignee that <br />Assignor has good title to said Lease and Option; that <br />U <br />
