<br />THIS DEED OF TRUST, SECURITY AGREEMENT, ASSIGNMENT OF LEASES
<br />AND RENTS, FINANCING STATEMENT AND FIXTURE FILING (as it may be
<br />amended, supplemented, extended or renewed from time to time, the "Deed of Trust") is made
<br />as of March 13, 2008 by NALL, INC., a Nebraska corporation ("Trustor"), whose mailing
<br />address is 112 Riverview Drive, Phillips, Nebraska 68865, Attention: David NaIl, JOHN J.
<br />JOLLEY, JR., a member of the Nebraska bar ("Trustee"), as trustee, whose mailing address is
<br />Kutak Rock LLP, 1650 Farnam Street, Omaha, Nebraska 68102, and AXIS Capital, LLC, a
<br />Nebraska corporation ("Lender"), as beneficiary, whose mailing address is c/o AXIS Capital
<br />Inc., 308 North Locust Street, Grand Island, Nebraska 68801, Attention: Gordon Glade.

<br />FOR VALUABLE CONSIDERATION, Trustor mortgages, grants, conveys, assigns,
<br />and transfers to Trustee, IN TRUST, WITH POWER OF SALE AND RIGHT OF ENTRY, for
<br />the benefit and security of Lender, the real property described on Exhibit A (the "Land"),
<br />together with all rights and privileges appurtenant thereto and together with the following
<br />described property and property rights now owned or hereafter acquired by Trustor or hereafter
<br />used or useful in connection with the use or operation of the Land (all such property and property
<br />rights as described in subsections (a) through (e) below, together with the Land, being
<br />collectively referred to as the "Trust Estate," with references in this Deed of Trust to the Trust
<br />Estate to mean and include all or any portion of or interest in any of the Trust Estate):
<br />
<br />(a) Any and all buildings and other improvements now or hereafter located or
<br />erected on the Land, including any and all items of property now or hereafter attached or
<br />affixed to such buildings or other improvements (or any portion thereof), all of which are
<br />agreed to constitute fixtures and to be an integral part of the real property. All of the
<br />property described in this subsection (a) is intended and agreed to be an integral part of
<br />the real property and is collectively described as the "Improvements." The Land and the
<br />Improvements are referred to in this Deed of Trust as the "Premises. "
