<br />SECOND AMENDMENT TO OPERATION
<br />AND EASEMENT AGREEMENT

<br />This Second Amendment to Operation and Easement Agreement ("Amendment") is
<br />made and entered into as of the 36 \^- day of ('{\~ ,2006 by and among KOHL'S
<br />ILLINOIS, INC., a Nevada corporation ("Kohl's") ha: iug its pnnclpal place of bus mess at North
<br />56th West 17000 Ridgewood Drive, Menomonee Falls, Wisconsin 53051, 281 & OLD POTASH
<br />LLC, a Nebraska limited liability company, ("Developer"), having its principal place of business
<br />at 410 Seventeenth Street, Suite 1705, Denver, Colorado 80202, and HY - VEE, INC., an Iowa
<br />corporation ("Hy-Vee") having its principal place of business at 5820 Westown Parkway, West
<br />Des Moines, Iowa 50266.

<br />WITNESSETH
<br />
<br />WHEREAS, Kohl's and Developer entered into a certain Operation and Easement
<br />Agreement dated as of December 1, 2004 ("Original OEA") for the purpose of developing and
<br />operating a certain Shopping Center (as defined in the Original OEA) in order to effectuate the
<br />common use and operation thereof; and
<br />
<br />WHEREAS, the Original DEA was recorded in Hall County, Nebraska with the Register
<br />of Deeds Office on February 9, 2005 as Document No. 0200501143; and
<br />
<br />WHEREAS, the Original OEA was modified pursuant to that certain First Amendment to
<br />Operation and Easement Agreement, recorded in Hall County, Nebraska with the Register of
<br />Deeds Office on October 12,2005 as Document No. 0200510141 ("First Amendment"); and
<br />
<br />WHEREAS, Kohl's, Developer and Hy-Vee desire to modify the OEA, as more
<br />particularly provided hereinafter; and
