Pursuant to the terms and conditions of a certain
<br />Supplement to Amended and Restated Real Property Exchange
<br />Agreement between Assignor and Assignee dated June 15, 2001,
<br />HOCH, INC., a Nebraska corporation ( "Assignor ") does hereby
<br />irrevocably assign, transfer, convey and deliver all of
<br />Assignor's right, title and interest in and to that certain
<br />Permanent Rights Agreement between Union Pacific Railroad and
<br />H & H Partnership, a Nebraska general partnership, dated
<br />December 1, 1994 and recorded in the Office of the Hall County
<br />Register of Deeds as Document No. 94- 109687, which Permanent
<br />Rights Agreement was previously assigned to Assignor by that
<br />certain Assignment dated December 31, 2000 and recorded in the
<br />Office of the Hall County Register of Deeds as Document No.
<br />200100091 and which Permanent Rights Agreement pertains to a
<br />tract of land comprising a part of the South Half of the
<br />Northwest Quarter (Si5NWl /) of Section Twenty (20) , Township
<br />Eleven (11) North, Range Nine (9) West of the 6th P.M., City of
<br />Grand Island, Hall County, Nebraska and more particularly
<br />described on the attached Exhibit "A" unto GIAET, L.L.C., a
<br />Nebraska limited liability company ( "Assignee ").
<br />IN WITNESS WHEREOF, the Assignor has duly executed this As-
<br />signment agreement this 15th day of June, 2001.
