Bunn, Esq. <br /> SPECIAL WARRANTY DEED <br /> THIS SPECIAL WARRANTY DEED is made and entered into on this day of <br /> September, 2015. FreightCar Rail Services, LLC, a Delaware limited liability company <br /> ("GRANTOR"), in consideration of TEN DOLLARS ($1 0.00) and other good and valuable <br /> consideration, received from or on behalf of ARS Nebraska, LLC, a Delaware limited liability <br /> company ("GRANTEE"), conveys to GRANTEE the real estate (as defined in Neb. Rev. Stat. <br /> 76.201) described in Exhibit A attached hereto, subject to the matters set forth on Exhibit B <br /> attached hereto. <br /> GRANTOR covenants with GRANTEE that GRANTOR: <br /> (1) is lawfully seised of such real estate and that it is free from encumbrances created <br /> by GRANTOR, except for easements, restrictions and covenants of record and the <br /> matters set forth on Exhibit B attached hereto; <br /> (2) has legal power and lawful authority to convey the same; and <br /> (3) warrants and will defend title to the real estate against the lawful claims of all <br /> persons claiming the same or any part thereof through, by or under GRANTOR. <br /> Special Provisions <br /> This Special Warranty Deed incorporates by reference, and the conveyance of the real <br /> estate is subject to, the following provisions, which shall be binding on GRANTEE, its <br /> successors and assigns and all future owners and shall be deemed to run with the land, and <br /> GRANTEE on behalf of itself, its successors and assigns covenants that it will include and make <br /> legally binding the following provisions in all subsequent transfers, leases, or conveyance <br /> documents: <br /> 1 <br />
