CERTIFIED COPY OF CORPORATE RESOLUTION
<br /> .I, the undersigned John H. Stauffer, do hereby certify
<br /> that I am the duly elected Secretary of Stauffer Publications,
<br /> Incorporated, a Delaware corporation, and am presently serving
<br /> in such capacity, and that the following is a true, correct
<br /> and complete copy of certain resolutions duly adopted by the
<br /> Board of Directors of said corporation at a meeting of said
<br /> Board duly called and held on August 27, 1957, at which a
<br /> quorum was present at all times:
<br /> RESOLVED, that the following described real
<br /> property of this corporation situated in Hall
<br /> County, Nebraska, to-wit:
<br /> The Southerly 44 fee� of Lots Three
<br /> (3) and Four (4) in Block Seventy-Nine
<br /> (79) of the Original Town now City of
<br /> Grand Island, Nebraska, according to the
<br /> recorded plat thereof, subject to certain
<br /> party wall agreements and easements all
<br /> of which are now of record.
<br /> shall be sold and conveyed for a price of �29,000,
<br /> to such purchaser or purchasers as the President
<br /> and Secretary of the corporation shall, by executing
<br /> a deed to such party or parties, select; and,
<br /> FURTHER RESOLVED, that Oscar S. Stauffer and
<br /> John H. Stauffer, respectively the President and
<br /> Secretary of this corporation, be and hereby are
<br /> authorized and empowered to execute and deliver, on
<br /> behalf of this corporation, any and all warranty
<br /> deeds which by their execution they shall deem
<br /> necessary and proper to carry out and eff'ectuate
<br /> the aforesaid sale and conveyance.
<br /> And I, the undersigned Secretary, do hereby further certify
<br /> that the fore�oing resolutions are presently unrevoked and in
<br /> full force and effect.
