Rev. Stat. 76-201): <br />See attached Exhibit A for legal description <br />GRANTOR covenants with GRANTEE that GRANTOR: <br />(1) is lawfully seized of such real estate and that it is free from <br />encumbrances except easements, covenants and restrictions of <br />record; <br />(2) has legal power and lawful authority to convey the same; <br />(3) warrant and will defend title to the real estate against the lawful <br />claims of all persons. <br />GRANTEE covenants with GRANTOR as follows: <br />The Grantor, at its sole and absolute discretion, shall have the right (but not <br />the obligation) to repurchase the real estate if there is a material default on the <br />payment of the promissory note dated September 30, 2009, between Roy's Grand <br />Dodge, Chrysler, Jeep on Locust, L.L.C. and Jim Earp Chrysler-Plymouth, Ltd. which <br />has been assigned to the Shirley L. Earp Revocable Trust, and such default is not <br />cured within ten (10) days after written notice to Grantee. Such right to repurchase <br />may be exercised until the default of the promissory note is cured, the promissory <br />note is paid in full or the Grantor decides to release its right to repurchase. The <br />terms and conditions of the repurchase will be consistent with those stated in the <br />Purchase Agreement between Grantor and Grantee dated November 18, 2011. The <br />Grantee shall not pledge the real estate as collateral without the written consent of <br />Grantor.
