201107605 Section 9.24 Obligations Absolute. All obligations of Grantor hereunder shall be ab- solute and unconditional irrespective of: (a) any bankruptcy, insolvency, reorganization, arrangement, readjustment, composi- tion, liquidation or the like of Borrower, Grantor or, any other Guarantor; (b) any lack of validity or enforceability of the Credit Agreement, any Secured Hedge Obligation, any Cash Management Obligation or any other Loan Document, or any other agree- ment or instrument relating thereto; (c) any change in the time, manner or place of payment of, or in any other term of, all or any of the Secured Obligations, or any other amendment or waiver of or any consent to any depar- ture from the Credit Agreement, any Secured Hedge Obligation, Cash Management Obligation or, any other Loan Document or any other agreement or instrument relating thereto; (d) any pledge, exchange, release or, non - perfection of any other collateral, or any re- lease or amendment or waiver of or consent to any departure from any guarantee, for- all or any of the Se- cured Obligations; (e) any exercise, non- exercise or waiver of any right, remedy, power or privilege un- der or in respect hereof, the Credit Agreement, any Secured Hedge Obligation, any Cash Management Obligation or any other Loan Document except as specifically set forth in a waiver granted pursuant to the provisions of Section 9 17 her or (f) any other circumstances which might otherwise constitute a defense available to, or a discharge of, Grantor..
