<br />the Original Lease Purcha�e Agreement is attached hereto as E�iibit "B" and incorporated
<br />herein by such reference. A copy of the First Addendum is attached hereto as Exhibit "C" and
<br />incorporated herein by such reference. A copy of the Second Addendum is attached hereto as
<br />Exhibit "D" and incorporated herein by such reference. Each such incorporation by reference is
<br />subject to the amendments, modifications and supplements provided for in this Third Addendum.
<br />Section III. A roval of Terms of Indenture• Restatement of Conditions Prior to
<br />Commencement. The City and Heartland hereby approve the terms of the Indenture and of the
<br />Refunding Bonds as set forth therein. The City hereby agrees to provide funds, in addition to the
<br />net proceeds of the Refunding Bonds, sufficient to pay all principal and interest due on the
<br />Building Bonds (as described in the Indenture) as called for redemption with any such amounts
<br />representing a prepayment of amounts due (as accrued to the date fixed for redernption) under
<br />the Existing Lease Purchase Agreement.
<br />Section IV. A�reement to Make Pavments; Liquidated Dama�es The City hereby
<br />agrees to make continuing installrnent purchase payments as the remaining purchase price and
<br />remaining basic rent due under the Agreement as follows:
