Further, <br />Heartland shall maincain until the espiration of the rerm of this ��eement or until the termina <br />cion uf the management contract wirh Heartland, whichever occurs eazlier, umbrella liabiliry <br />insurance on [he Project and the operation �hereof in amounts of not less than S1,000,000.00 for <br />bodily injury and propecty damage for zach occurrence and with an annual ag�re�ate limitation <br />of not tess than 52,000,000.00. <br />Until the e.cpiration of the term of this A�eement or until the termi.nation of the manage- <br />cnent contract with Heartland, whichever is earlier, Hearcland shall at its own expense provide all <br />statutory workers compensation insurance as well as employers liability insurance for cla.ims <br />a�ainst injury, disease or death of employe�s, which for any reason, may not fall within the pro- <br />visions of workers compensation law in amounts not less than �100,000.00 for �ach person, <br />S 1 OO.U00.00 per disease and with an annual a��e�ate poticy limit of not less than g�00,000.00. <br />13. W�►RR�vTIES OF P.-�RTIES. The City and Heartland mutually covenant and <br />agree chat the parties have made no warranties tivith respect to the Project or as to its suitability or <br />usefulness for pucposes associated with the Project and neither party shall be liable for any <br />defecu in the Project. During and upon campletion of construcrion of the Project, the parties by <br />their respective officers, emp[oyees, representatives, coatractors or agents may inspect r�ie Pra <br />ject during usual business hours for such purposes a.s may be reasontably necessary for the pra- <br />teccion af such party's separate interests in the Project. <br />14. GSES TO CONFORM TO G�W. During the term of this r�areement, the par- <br />ties shall pmmpdy comply with all valid statutes, laws, ordinances, regulations, rules, orders, <br />j�d�tents and requirements of all federal, state, local and other govemmental authorities, now or <br />hereafter applicable to �he Project as to the rnanner of use or condiuon of the Projeet. In the <br />event compliance with any of the foregoing requires additions, improvements and/or modifica <br />tioas to the Project, Heartland agrees to plan, design and construct such additions, modifications <br />and/or impravernents and the City agrees to reimburse Hear�land as addidonal rent for direct <br />expenses of the Project includin� engineers, azchitects, contractors, supplies and materials but <br />no[ the cost uf services provided by Heartland officers and employees. <br />3U.
