I. STaTEI�tE�iT OF PL'RPOSE. The purgose of this a�reement is to set forth the terms a.nd conditions under which Heartland will plan, design, construct and finance an agricul- tural exposition and events center (as more specifically dehned below, the `'Project'� which wi(1 be leased to and purchased by the City in accordance with �ieb. Rev. Stat., § 19-2421. The intent of the parties is that the interest on the ohligations issued by Heartland to Finance the Project shall be tax z:cempt pursuant to Section I03 of the Internal Revenue Code, as amended, and in contormity with the rules and requirements of Rev. Proc. 32-26. Further, the purpose of this a�reement is to set forth the terms and conditions relating to che canstruction, operation and management of the Project. 3. DEFINITIONS. The words and teans as used in this agreement shall liave the fotlowing meanings, unless the context or use indicates another or differeat meaning or intent: "Agreement" shall mean this Lease Purchase Agreement rogether with any amendments hereto. "Bond Fu,rd" shall mean the fund to be created by the Building Bond Indenture into which basic rentals payable under this agreement shall b� deposited. '`Building Bo�id Indenrure" or "Indenture" shall mean that trust indenture and security agreement authorizin� the Buildi�g Bonds to be issued by Heartland to Cund a portion of the costs of the Project. '`Building Bonds" or "Bonds" shall mean the building bonds issued by HeartIand pursu- ant to the [ndencure to provide funds to pay a portion uf the cosu of che construction and acquisition of the Project.
