�o�iosso� <br />services (collectively, the "Supportive Services"). The Owner also hereby covenants and agrees <br />to: <br />(a) Operate and ensure the operation of the Dwelling Units in a manner <br />consistent with the Crown Program. <br />(b) In the event the Property Manager resigns or is otherwise replaced, (i) hire <br />a property manager satisfactory to the Authority, (ii) use a management agreement <br />substantially in the form of the Property Management Agreement only and acceptable to <br />the Authority, (iii) while a replacement property manager is being hired, deposit the <br />Home Ownership Assistance Fee (as defined in the Property Management Agreement) <br />into the Home Ownership Assistance Fund (as defined in the Property Management <br />Agreement), (iv) while a replacement property manager is being hired, provide or pay for <br />the provision of the Supportive Services and (v) use reasonable efforts to ensure the <br />assignment of the Property Manager's rights to disburse funds from the Home Ownership <br />Assistance Fund to the new property manager. <br />(c) Ensure the deposit of the Home Ownership Assistance Fee into the Home <br />Ownership Assistance Fund and the disbursement of funds from the Home Ownership <br />Assistance Fund in accordance with the Property Management Agreement. <br />(d) Ensure the provision for the Supportive Services at all times, including, in <br />the event the Property Manager resigns or is otherwise replaced, during the time a <br />replacement property manager is being hired and upon the hiring of such replacement <br />property manager. <br />It is expressly agreed to by the Owner that, in addition to any other remedy provided <br />hereunder, (a) the Authority shall have a right to specific enforcement of the provision of the <br />Supportive Services by the Owner or its Property Manager with respect to the Project and that, in <br />the event such services are not provided to prospective and Qualified Tenants at any time, after <br />notice and a reasonable period to cure, the Authority may commence an action for specific <br />performance or arrange for substitute services at the sole cost of the Owner and (b) in the event <br />the Home Ownership Fund is misapplied, the Authority shall have the right to direct <br />disbursements from the Home Ownership Assistance Fund and the Owner hereby agrees to <br />comply with the Authority's direction. <br />T'he Owner further agrees that the Authority shall have the continuing right to monitor the <br />Owner's compliance with the covenants contained in this Section 6 through review of all reports <br />submitted to the Authority pursuant to the Property Management Agreement, through inspections <br />of the books and records maintained by the Owner with respect to the Project, such inspections <br />to be conducted during normal course of business. <br />Section 7. Sale of ualified Units Upon Expiration of ualifaed oject Period. For <br />a one-year period after the end of the Compliance Period, the Grantee, if it or an afFiliate thereof <br />has continuously served as the managing member of the Owner, shall have the right of first <br />refusal to purchase the Project for a price equal to the greater of (a) $100 or (b) consistent with <br />Section 42(i)(7) of the Code, the sum of (i) all federal, state and local taxes payable by the <br />4832-2986-0106.1 11 <br />
