Commercial Real Estate Deed of Trust dated October 27, 2008, between Assignor and Rasmussen concerning conveyance of property described as: "The Southwest Quarter (SW 1/4) of Section Five (5f, Township Twelve (12) North, Range Eleven (11), West of the 6th P.M., in Hall Caunty, Mebraska, except a tract of land described in Exhibit A" and "The Northwest Quarter (NW 1/4) of The Southwest Quarter (SW 1/4) of Section Fifteen (15�, Township Twelve (12� North, Range Eleven (11j, West of the 6th P.M. in Hal) County, IVebraska," to Assignor in trust for the purpose of securing payment of Rasmussen's indebtedness to Assignor. The 2008 Commercial Real Estate Deed of Trust is recorded among the records of the Hali County Register of Deeds as Instr�ment Number 200908742. A. Assignment. Assignar has granted, bargained, sold, assigned, conveyed and transferred, and by these presents does grant, bargain, sell, assign, convey and transfer unto Assignee, his heirs, successors and assigns, forever all of its right, title and interest in, to and under the deeds of trust described above, together with any and all rights, interests and appurtenances thereto belonging; subject only to any right and equity of redemption of Rasmussen, his successors or assigns in the same. B. Acceptance and Assumption. Assignee hereby assumes all of Assignor's duties, obligations and benefits under the deeds of trust listed above. Assignee agrees to perform all remaining obligations of Assignor under the deeds of trust and agrees to indemnify and hold Assignor harmless from any claim or demand resulting from non-performance by Assignee. Assignee shall be entitled to all monies remaining to be paid under the promissory note which is secured by the deeds of trust. C. Warranties and Representations. Assignor hereby warrants and represents that it is the present holder of the above described deeds of trust and that there are no other holders of them. Assignor warrants and represents that the deeds of trust are in full force and effect and are fully assignable. Assignor further warrants that it has the full right and authority to transfer the desds of trust.
