�0�106264 <br />(b) in the event the Manager resigns or is otherwise replaced, (i) hire a <br />manager satisfactory to the Authority, (ii} use a management agreement substantially in <br />the form of the Property Management Agreement only and acceptable to the Authority, <br />(iii) while a replacement manager is being hired, deposit the Home Ownership Assistance <br />Fee (as defined in the Property Management Agreement) into the Home Ownership <br />Assistance Fund (as defined in the Properiy Management Agreement), (iv) while a <br />replacement manager is being hixed, provide or pay for the provisioa of the Supportive <br />Services and (v) use reasonable efforts to ensure the assignment of the Manager's rights <br />to disburse funds from the Home Ownerslup Assistance Fund to the new manager. <br />(c) ensure the deposit of the Home Ownership Assistance Fee into the Home <br />Ownership Assistance Fund and the disbursement of moneys from the Home Ownership <br />Assistance Fund in accordance with the Property Management Agreement. <br />(d) ensure the provision of the Supportive Services at all times, including, in <br />the event the Manager resigns or is otherwise replaced, during the time a replacement <br />manager is being hired and upon the hiring of such replacement manager. <br />It is expressly agreed. by the Owner that, in addition to any other remedy provided <br />hereunder, (a) the Authority shall have a right to specific enforcement of the provision of the <br />Supportive Services by the Owner or its property mana.ger with respect to the Project and that, in <br />the event such services are not provided to prospective and Qualified Tenants at any tirne, after <br />notice and a period to cure, the Authority may commence an action for specific performance or <br />arrange substitute services at the sole cost of the Owner and (b) in the event the Home <br />Ownership Fund is misapplied, the Authority shall have the right to direct disbursements from <br />the Home Ownership Assistance Fund and the Owner hereby agrees to comply with the <br />Authority's direction. <br />The Owner further agrees that the Authority shall have the continuing right to monitor the <br />Owner's compliance with the covenants contained in this Section 6 through review of all reports <br />submitted to the Authority pursuant to the Property Management Agreement, through inspections <br />of the books and records maintained by the Owner with respect to the Project, such inspections <br />to be conducted during normal course of business. <br />Section 7. Sale of Qualified Units Upan Ezpiration of Qualified Project Period. For <br />a one-year period after the end of the Compliance Period, the Grantee, if the Managing Member <br />or an affiliate thereof has continuously served as the managing member to Owner, shall have the <br />right of first refusal to purchase the Project for a price equal to the greater of (a) $100, <br />(b) consistent with Section 42(i)(7) of the Code, the sum of (i) all federal, state and local taxes <br />payable by the Investor Member attributable to such sale, (ii) the principal amount of outstantiing <br />indebtedness secured by the Qualified Unit (other than indebtedness incurred within the five year <br />period ending on the date of the sale to the Qualified Tenant} and (iii) provisions as provided in <br />Operating Agreement. <br />It is expressly agreed, however, that (a) the Owner, in the event the Grantee does not <br />exercise its right of first refusal described above, for a period not to exceed three months from <br />the date Grantee gives notice to Owner that it will not exercise such right of first refusal, or <br />4840-(�52-9929.1 11 <br />
