<br />THIRD ASSIGNMENT OF DEED OF TRUST
<br />WHEREAS, MFC REAL ESTATE, LLC, a Delaware limited liability ("Assignor"), for
<br />good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
<br />hereby grants, conveys, assigns, and transfers to MFC NEW PARADIGM LLC, a Delaware
<br />limited liability company ("Assignee"), all right, title, and interest of Assignor in, to, and under
<br />or arising out of that certain Deed of Trust, dated as of May 28, 2009, made by NEW
<br />PARADIGM REALTY, INC., a California corporation, in favor of METRO FUNDING CORP.,
<br />a New Jersey corporation, ("Metro") which mortgage was recorded on June 2, 2009 in the
<br />Registrar's Office of Hall County, Nebraska, as Instrument No. 0200904298, which Deed of
<br />Trust in the principal amount of $950,000.00 relates to certain interests in the real property
<br />described in the attached Exhibit "A" attached hereto, as assigned by Metro to MFC Funding,
<br />LLC ("MFC Funding"), by Assignment of Deed of Trust, dated May 28, 2009 and recorded on
<br />June 2, 2000 as Instrument No. 0200904299, in the Registrar's Office of Hall County, Nebraska,
<br />and as further assigned by MFC Funding to Assignor by that Second Assignment of Deed of
<br />Trust, dated January 20, 2011 and recorded on February 15, 2011 as Instrument No. 201101287,
<br />in the Registrar's Office of Hall County, Nebraska.
<br />This Third Assignment of Deed of Trust is made without any recourse, representation, or
<br />warranty of any kind whatsoever, express or implied, by operation of law or otherwise.
<br />TO HAVE AND TO HOLD, the same unto Assignee, its successors and assigns, forever.
<br />The Assignee is not acting as a nominee of the mortgagor and the mortgagee continues to
<br />secure a bona fide obligation. This Third Assignment of Deed of Trust shall be governed by and
<br />construed in accordance with the laws of the State of Nebraska.
