I FURTHER CERTIFY that due notice of said meeting was given, that a quorum was present, and that said resolution has not been repea.led. I FURTHER CERTIF'Y that this authority to undertake certain land transactions on behal� of The Nature Conservancy has been delegatetl by app�ropriate deiegation to the President of The Nature Conservancy, John Sawhill. I FURTHER CERTIFY that pursuant to said resolution and delegation, on July 20, 1999, John Sawhill did authorize the u�dertaking of all actions necessary to implement that project known as Platte RiverlWood River Roost (Derr) located in Hall County, Nebraska. Those approvals allow for the transfer of land described in Exhibit A to the State of Nebraska, Depariznent of Roads. I FURTHER CERTIFY that pursuant to said resolution, delegation and project authoriza.tion, Mace �Iack, Nebraslca State Directar, is authorized to take those actions necessary to implement the above-referenced project inclnding the execution of deeds and other documents necessary to complete that projeet on behalf af the corporation.
