�� 2 0�10566� PLATTE RNER/WOOD RIVER ROOST DERR TRACT , HALL COUNTY,NEBRASKA As Assistant Secretary of The Nature Conservancy, a non-profit corporation existing under and by virtue of the laws of the District of Columbia, I HEREBY CERTIFY that purswant to a resolution passed by ths Board of Governors, the gaverning body of The Nature Conservancy, at its meeting held on Pebruary 5,1999, the President of The Nature Conservancy is autharized to undertake certain land transactions on behalf of The Nature Conservancy and that pursuant to such resolution authority to undertake such real estate transactions may be delegated to other staff of The Nature Conservancy. I FURTHER CERTIFY that. due natice of said meeting was given, that a quorum was present, and that said resoiution has not been repealed. I FURTHER CERTIFY that this authority to undertake certain land transactions on behalf of The Nature Conservancy has been delegated by appropriate deiegation to the President of The Nature Conservancy, John Sawhill. I FURTHER CERTIFY that pursuant W sa.id resoiution and deiegation, on July 20, 1999, John Sawhill did authorize the u�dertaking of all actions necessary to implement that project known as Platte River/Wood River Roost (Derr) located in Hall County, Nebraska. Those approvals allow for the transfer ofland described in Exhibit A to the State ofNebrasica, Department of Roads. I FURTHER CERTIFY that pursuant ta said resolution, delegation and project authoriza.tion, Mace �Iack, Nebrasica State Director, is authorized to take those actions necessary to implement the above-referenced project including the execution of deeds and other dacuments neoessary to comp3ete that project on behalf of the corporation.
