PARACHINI and LINDA M. PETERS being first duly sworn upon oath, depose and state that: l. Georgena E. Frauen created the Georgena E. Frauen Revocable Living Trust pursuant to Trust Agreement da.ted November 23, 1993 (the "Trust") wherein she designated herself as the initial Trustee of the Trust, Otto P.A. Frauen as the first successor Trustee and Joe Parachini and Brad Peters as the subsequent successor Co-Trustees; 2. From the date of the creation of the Trust until the date hereof, Georgena E. Frauen has served as Trustee of the Trust; 3. Otto P.A. Frauen, the first successor Trustee of the Trust died on October 12, 2006; 4. As of the date hereof Georgena E. Frauen executed an Atnendment to the Trust wherein she withdrew as the initial Trustee of the Trust due to advanced age, declining health and her desire not to continue with the responsibility for managing the trust property and designated Lori J. Parachini and Linda M. Peters as Co-Trustees of the Trust and by the execution of said Amendment Lori J. Parachini and Linda M. Peters accepted the duties of Co- Trustees of the Trust. The Amendment to the Trust also revised the provisions of ARTICLE X, Trustee Provisions, of the Trust by confirming the designation of Lori J. Parachini and Linda M. Peters as Co-Trustees, by designating Brad Peters as first successor Co-Trustee of the Trust and Lana K. Schindler as subsequent successor Co-Trustee of the Trust; 5. That Affiants, Lori J. Parachini and Linda M. Peters, are currently serving as Co- Trustees of the Trust and the Trust grants Affiants as Co-Trustees all powers under the Nebraska Uniform Trust Code; � I►1 The Trust is a grantor trust and may be revoked by grantor, Georgena E. Frauen; The Trust is in full and effect and as of the date hereof Affiants are serving as Co- Trustees of the Trust; 8. Georgena E. Frauen is the sole beneficiary of the Trust during her lifetime and Lori J. Parachini, Linda M. Peters and Lana K.
