201103788 "Indenture" shall mean this Trust Indenture and Security Agreement together with all supplements hereto. "2005 Indenture" sha11 mean the Trust Indenture dated as of October 1, 2005 by and between the Corporation and the Trustee, pursuant to which the Building Bonds were issued. "Library Board Easement" shall mean the License and Agreement executed and delivered by the City's library board in accordance with the terms of Section IX of the First Addendum to Lease Purchase Agreement which constitutes a part of the Agreement. "outstanding hereunder" or "bonds outstanding hereunder" sha11 mean all bonds which have been authenticated, issued and delivered under this Indenture except: (a) bonds cancelled because of payment; (b) bonds for the payment of which cash or Government Obligations sha11 have been theretofore deposited with the Trustee, whether upon or prior to the ma.turity date of any of said bonds; and (c) bonds in lieu of which other bonds have been authenticated as provided under Article II hereof. "person" shall include natural persons, firms, associations, corporations and public bodies. "Payments" shall mean the payments for the purchase and leasing of the Project as descnbed and defined in the Agreement. "Project" shall mean the Corpora.tion's interest in the Site by virtue of the easement rights provided for in the Agreement and the Lbrary Board Easement, together with the appro�mately 25,000 square foot library addition to be constructed on the Site, and a11 furniture, fiactures, equipment and improvements to be constructed and acquired as specified under the tern�s of the Agreement (See Exhibit A . "Project Manager" shall mean the City's Library Director as such officer shall be designated by the City from time to time, acting on beha.lf of the Corporation and the City, or as alternate, the City's Finance Director as such of�icer shall be designated by the City from time to time, also acting on behalf of the Corporation and the City, and any other alternate or substitute designated by the Corporation and approved by the City. 5
