SECOND ASSIGNMENT OF DEED OF TRUST
<br />WHEREAS, MFC FUNDING, LLC, a Delaware limited liability "Assignor " }, for good
<br />and valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
<br />hereby grants, conveys, assigns, and transfers to MFC REAL ESTATE, LLC, a Delaware limited
<br />liability company ( "Assignee " ), all right, title, and interest of Assignor in, to, and under or
<br />arising out of that certain Deed of Trust, dated as of May 28, 2009, made by NEW PARADIGM
<br />REALTY, INC., a California corporation, in favor of METRO FUNDING CORP., a New Jersey
<br />corporation, ( "Metro ") which mortgage was recorded on June 2, 2009 in the Registrar's Office of
<br />Hall County, Nebraska, as Instrument No. 0200904298, which Deed of Trust in the principal
<br />amount of $950,000.00 relates to certain interests in the real property described in the attached
<br />Exhibit "A" attached hereto, as assigned by Metro to Assignor by Assignment of Deed of Trust,
<br />dated May 28, 2009 and recorded on June 2, 2000 as Instrument No. 0200904299, in the
<br />Registrar's Office of Hall County, Nebraska.
<br />This Second Assignment of Deed of Trust is made without any recourse, representation,
<br />or warranty of any kind whatsoever, express or implied, by operation of law or otherwise.
<br />TO HAVE AND TO HOLD, the same unto Assignee, its successors and assigns, forever.
<br />The Assignee is not acting as a nominee of the mortgagor and the mortgagee continues to
<br />secure a bona fide obligation. This Second Assignment of Deed of Trust shall be governed by
<br />and construed in accordance with the laws of the State of Nebraska.
