<br />CITIGROUP GLOBAL MARKETS REALTY CORP., a New York corporation,
<br />having a mailing address at 388 Greenwich Street, llth Floor, New York, New York 10013
<br />("Assignor"), for valuable consideration, the receipt and sufficiency of which is hereby
<br />acknowledged, hereby sells, assigns, transfers, and endorses to ACV CFT PORTFOLIO III,
<br />LLC, a Delaware limited liability company, having a mailing address at 465 First Street West,
<br />Second Floor, Sonoma, California 95476 ("Assi�nee"), without any right of recourse or any
<br />representation or warranty, express or implied except as expressly provided in that certain Loan
<br />Purchase Agreement dated as of November 17, 2010, between CITICORP NORTH AMERICA,
<br />INC., as seller, and Assignee, as purchaser, all of Assignor's right, title and interest in and to that
<br />certain Assignment of Leases and Rents dated as of April 30, 2007, given by KLAC REX, LLC,
<br />a Delaware limited liability company, to and in favor of Assignor, and recorded May 21, 2007 as
<br />Document No. 200704126 in the County of Hall, State of Nebraska (the " Assi�nment of Leases
<br />and Rents"), which Assignment of Leases and Rents affects that certain real property situated in
<br />the County of Hall, State of Nebraska and more particularly described in Exhibit A attached
<br />hereto and made a part hereof.
<br />This Assignment of Assignment of Leases and Rents executed as of December 28, 2010
<br />and to be effective as of December _, 2010, shall be governed in all respects by the laws of the
<br />State of Nebraska.
