<br />these presents, does make, constitute, and appoint OLIVIA A. TODD, President, and/or LISA ROGERS, of
<br />National Default Servicing Corporarion, 7720 N. 16`�' Street, Suite 300, Phoenix, AZ 85020, County of Maricopa,
<br />State of Arizona, its true and lawful Agent and Attomey-in-fact, in its name, place, and stead to execute,
<br />acknowledge, prepaxe and deliver documents reasonable, customary, necessary and associated with the foreclosure
<br />of loans held in the name of US BANK HOME MORTGA�E, A DMSION OF US BANK N.A., a Delaware
<br />Corporation and/or US BANK, N.A., a Delaware Corporation or proc�edings in'lieu of foreclosure relating to such
<br />loan, including but not Iimited to documents such as Notices of Substitutions of Trustee, Statements of Breach or
<br />Non-Performance, Affidavits of Indebtness or Prove-Ups, Appointment of Subsriturion of Trustee and Statement of
<br />Breach, Certification of Amount Due, Acceptances of Deeds in Lieu of Foreclosure, and Reconveyances; and
<br />further granting authority to execute Trustee's Deeds Upon Sale, Grant Deeds and General Warranty Deeds
<br />conveying properties to either the Secretary of Housing and Urban Development, his successors and assigns, or the
<br />Secretary of Veteran's Affairs, an Officer of the United States of America, to accomplish the transfer of title to such
<br />entities; and to execute and deliver such other documents as may be required to accomplish such transfer.
<br />GIVING AND GRANTING unto said Agent and Attorney-in-fact full power and authority to do and perform every
<br />act necessary and proper to be done in the exercise of any of the foregoing powers with full power of substiturion

<br />from all claim, demands, suits penalties or actions and for all losses, costs and expenses for any claims against, or
<br />liability of US BANK HOME MORTGAGE, A DIVISION OF US BANK N.A., and/or US BANK, N.A., a
<br />Delawaze Corporation, for any cause arising out of, or resulting from ,default in the performance of, or the negligent
<br />performance of, any obligation or attorney in fact under this Limited Power of Attomey.
