<br />compauay ("Grantee"):
<br />The North 5$3 feet of the West 583 feet of the Northwest Quarter of Section 27,
<br />Township 9 North, Range 10 West of the 6`� P.M., Hall County, Nebraska.
<br />Together with all hereditaments and a�purtenances belonging thereto or appertaining in any way,
<br />and the reversion ar reversions, remainder and remainders, rents, issues, and pro�ts thereof; and
<br />all the estate, right, title, interest, claim, and demand thereto belonging to Grantor in law or
<br />equity.
<br />Grantar covenants with Crrantee to warrant and def�nd the real estate against the lawful claims af
<br />all p�rsons claiming by, through, or under Grantor, except that (a) this Special Warranty Deed is
<br />made subject to all representationa, warranties and cover►ants ofthe Grantnr set farth in that
<br />certain Asset Purchase Agreement dated as nf December � 2Qp8 among Grantee, Grantar and
<br />Bard�rcomm Partners, L.P. (the "Purchase Agreement"), a11 of which shall survive this
<br />canveyance as provided in the Purchase Agzeement and (b) nothing contained in this Special
<br />Warranty Deed shall be deemed to defeat, impair, limit, supersede, amend ar modify any o�tk�e
<br />terms, conditions or provisions of the purchase Agreement or any rights (including, without
<br />limitat�an, xights to indemnification or for damages), claims, remedies, or obligations of the
<br />parties under the Purchase Agreement and, to the extent of any conflict between the Purchasa �
<br />Agre�ment and this Special Warranty Deed, the terms and provisions of the Purchase Agreement
<br />shall prevail.
