201007999 <br />Section 5.27. CHOICE OF LAW THE PROVIS�UNS OF THIS MURTGAGE <br />REGARDING THE CREATION, VALIDITY, PERFECTION, AND ENF�RCEMENT, <br />INCLUDING, WITHOUT LIMITATI�N, FORECLOSURE OF THE LIENS AND <br />SECURITY INTERESTS HEREIN GRANTED SHALL BE GOVERNED BY AND <br />CONSTRUED IINDER THE REQUIREMENTS OF LAW OF THE RESPECTIVE <br />STATES IN WHICH THE MORTGAGED PROPERTIES ARE LOCATED. ALL <br />OTHER PROVYSIONS OF THIS MORTGAGE AND THE RIGHTS AND <br />OBLIGATIONS OF MORTGAGOR, ADMINISTRATIVE AGENT, TRUSTEE, AND/OR <br />THE SECURED PARTIES HEREUNDER, SHALL BE GOVERNED BY, AND SI3ALL <br />SE CONSTRUED AND ENFORCED IN ACCORDANCE WITH, THE <br />REQUIREMENTS OF LAW OF THE STATE OF NEW YORK, WITHOUT REGARD <br />TO THE CONFLICT OF LAWS PRINCIPLES THEREOF. WITHOUT LIMITING THE <br />FOREGOING, TO THE EXTENT THAT THIS MORTGAGE APPLTES TO ANY REAL <br />PROPERTY INTERESTS LOCATED IN A PARTICULAR STATE, THIS MORTGAGE <br />SHALL BE CONSTRUED AND ENFORCED IN ACCORDANCE WITH AND <br />GOVERNED BY THE REQUIREMENTS OF LAW OF SUCH STATE W�TH RESPECT <br />TO THE FOLLOWING MATTERS: (1) WHETHER ANY TRANSACTION RELATING <br />TO THIS MORTGAGE TRANSFERS OR CREATES AN INTEREST IN SUCH REAL <br />PROPERTY FOR SECURITY PURPOSES OR OTHERWISE; (2) THE NATURE OF AN <br />INTEREST IN SUCH REAL PROPERTY THAT IS TRANSFERRED OR CREATED SY <br />ANY TRANSACTXON RELATING TO THIS MORTGAGE; (3) THE METHOD FOR <br />FORECLOSURE OF A LIEN ON SUCH REAL PROPERTY; (4) THE NATURE UF AN <br />INTEREST IN SUCH REAL PROPERTY THAT RESIILTS FROM FORECLOSURE; <br />OR (5) THE MANNER AND EFFECT OF RECORDING OR FAILING TO REC�RD <br />EVIDENCE OF ANY TRANSACTION RELATING TO THIS MORTGAGE THAT <br />TRANSFERS OR CREATES AN INTEREST IN SUCH REAL PROPERTY. <br />Section 5.28. CHOICE OF VENUE MORTGAGOR CONSENTS TO THE <br />.�URISDICTI�N AND VENUE OF ANY CO[TRT LOCATED IN A STATE �N THE <br />EVENT OF ANY LEGAL PROCEEDING UNDER THIS MORTGAGE FOR THAT <br />PQRTION OF THE PRUPERTY LOCATED IN SUCH STATE. <br />Section 5.29. Limitation on Liabilit of General Partner. The General Partner, as general <br />partner af Borrower, shall not be liable for the obligations of Borrower under this Mortgage, <br />including, without liznitation, by reason of any payment obligation irnposed by governing state <br />partnership statutes and any provision of the applicable limited partnership agreement of <br />Borrower that requires the General Fartner to restare a capital account de�cit. <br />Section 5.30. Limitations as to Parties Constituting Mortga�or. Notwithstanding <br />anything to the contrary cantained in this Mortgage, the agreements, covenants, representations <br />and warranti�s cantained herein are made by each Mortgagor as they relate ta such Mortgagor <br />and the Property as to which such Mortgagor has any right, title and interest, and not with respect <br />to a,ny other Mortgagor or such other Mortgagor's Property. <br />ARTICLE VI <br />��j <br />
