201007999 <br />provisions of this Article IV will operate to divest all right, title, interest, claim and demand of <br />Mortgagor in and to the property sold and wi11 be a perpetual bar against Mortgagar aud shall, <br />subject to at�y applicable Requirement of Law, vest title in the purchas� free and clear of all <br />liens, security interests and encumbrances, including without limitation, liens, security interests <br />and encumbrances junxor or subordinate to the liens, security interests and encumbrances created <br />by this Mortgage, except for Customary Permitted Liens. Upon any sa�e of the Callateral or at�y <br />portion thereof pursuant ta the provisions of this Article N, the receipt by Adminxstrative Agent, <br />Trustee, the sheriff or other official or party responsible for conducting the sale of the proceeds <br />from such sale shall be sufficient discharge to the purchaser or purchasers at any sale for the <br />purchase money, and such purchaser or purchasers and the h.eirs, devisees, personal <br />repxesentatives, successors and assigns thereaf shall not, after paying such purchase money and <br />receiving such receipt of Administrative Agent, Trustee, the sheriff or sucl� other official or <br />party, be obliged ta see to the application thereof or be in anywise answerable for any loss, <br />misapplication or nonapplication thereof. Any purchaser at a sale will, subject to mandatory <br />redemption periods, if any, receive immediate possession of the Collateral purchased, and <br />Mortgagor agrees that if Mortgagor retains possession of the Collateral or any part thereof <br />subsequent to such sale, Mortgagor will be considered a tenaxit at sufferance of the purchaser, <br />and wi11, if Mortgagor remains in possession after d�mand to remove, be guilty of forcible <br />detainer, and will be subject ta eviction and removal, forcible or otherwise, with or without <br />process of law and all damages to Mortgagor by reason thereof are hereby expressly waived by <br />Mortgagor. <br />Section 4.18. Federal and Tribal Transfers. Upon a sale conducted pursuant to this <br />Article IV of all or any portion of the Mortgaged Properties consisting of inte�rest (the "Federal <br />and Tribal Interests") in lEases, easeme�ts, rights-of-way, agreements or other documents and <br />instnxtnents covering, affecting or atherwise relating to federal or triballands (including, without <br />limitation, leases, easements and rights-of-way issued by the Bureau of Land Management; <br />leases, easements, and rights of- way issued by the Bureau of Indian Affairs; and leases, <br />easements, rights-of-way and minerals agreements with tribal governments or agencies or <br />allottees), Mortgagar agrees to take all action and execute all instruments necessary or advisable <br />to transfer the Federal and Tribal Interest to the purchaser at such sale, including withnut <br />limitation, to execute, acknowledge and deliver assignments of the Federal and Tribal Interests <br />on officially approved fortns in sufficient counterparts to satisfy applicable statutory and <br />regulatory rec�uirements, t� seek and request approval thereof and to take all other action <br />necessary or advisable in connection therewith. Mortgagor hereby irrevocably appoints <br />Administrative Agent as Mortgagors attorney-in-fact and proxy, with full power and authority in <br />the place and stead of Mortgagor, in the name of Mortgagor or otherwise to take any such action <br />and execute any such instrum�nt on behalf of Mortgagor that Administrative Agent may deem <br />necessary ar advisable to so transfer the Federal and Tribal Interests, including without <br />limitation, the power ar�d authority to execute, acknowledge atad deliver such assignments, to <br />seek ar�d request approval thereof, and to take all other actian deemed necessary ar advisable by <br />Administrative Agent in connection therewith; and Mortgagor hereby adopts, ratifies and <br />con�'irms all such actions and instruments. Such power of attorney and proxy is coupled with an <br />interest, shall survive the dissolution, terminatian, reorganization ar ather incapacity of <br />Mortgagor and shall be irrevocable. No such action by Adrninistrative Agent shall constitute <br />acknowledgment of, or assumption of liabilities relating to, the Federal and Tribal Tnterests, and <br />�43 <br />
