<br />Section 1.3. Note, Loan Documents. Oth�r Obligations. This Mortgage is made to
<br />secure and enforce the pa�nent and performarice of (a) all Obligations, indebtedness and other
<br />obligations and liabilities of Borrower, any other Loan Party or other Group Member now or
<br />hereafter incurred or axising pursuant to the provisions of the Credit Agreement, the Guarantee
<br />and Collateral Agreement and the other Loan Documents, whether now in existence or hereafter
<br />arising, whether by acceleration or otherwise, including, without limitation, (i) (X) those certain
<br />revolving cr�dit loans in the maximum aggregate stated principal amount of $75,00O,OOQ, which
<br />revolving credit loans may be evideanced by notes issued from time to time pursuant to the Credit
<br />Agreement, and which revo�ving credit loans are payable on or before October 25, 2014, unless
<br />otherwise extended pursuant to the Credit Agreement, as from time to time amended,
<br />supplemented, restated, increased or otherwise modified, and all other notes given in substitution
<br />ther�for, or in moditication, renewal or extension thereof, in whole or in part and (Y) those
<br />certain term loans in the xnaximum aggregate stated principal amount of $200,OOO which
<br />term loans may be �videnced by notes issued from time to time pursuant to the Credit
<br />Agreement, and which term loans are payable on or before October 25, 2014, unless otherwise
<br />extended pursuant to the Credit Agreement, as from time to time amended, supplemented,
<br />restated, increased or oth�rwise modified, and all other notes given in substitution therefor, or in
<br />modificatian, renewal or extension thereof, in whole or in part, such revolving credit loans being
<br />subject to increase up to an aggregate amottnt of' $200,00O,OOq under the terms of the Credit
<br />Ag� (as from time to time amended, supplemented, restated, increased or otherwise
<br />modified, and all other notes given in substitution therefor, or in modification, renewal or
<br />extension thereof, in whole or in part, the "Notes"); (ii) all additional loans or advances made by
<br />Administrative Agent or the Lenders to or far the benefit of Borrower oz any Subsidiary of
<br />Borrawer pursuant to the Credit Agreement or any other Loan Docum�nt (it being contemplated
<br />that the Lenders may lend additional sums to Borrower or any Subsidiary of Borrowe�r pursuant
<br />to the Credit Agreement fram time to time, but shall not be obligated to do so, and Mortgagor
<br />agrees that the payment of any such additional loans shall be secured by tlais Mortgage), (iii) all
<br />interest (including, withaut limitation, interest accruing at any post-default rate and interest
<br />accruing after the filing of any petition in bankruptcy, or the commencement of any iansolvency,
<br />reorganization or like proceeding, whether or not a claim for post-filing or post-petition interest
<br />is allowed in such proce�ding), fees, premiums, costs (i�cluding costs of collection), expenses,
<br />penalties, indemnities, r�asonable legal and other fees, and all other reasonable amounts which
<br />may now or hereafter be owed to the Administrative Agent, the Issuing Lenders, the Arrangers,
<br />or any other Secured Party under or in connection with the Credit Agreernent or any of the other
<br />Laan Documents, whether or not evidenced by a promissory note or other instrument; (iii) all
<br />obligatians and liabilities of any nature now or k�e;reafter existing under or arising in connection
<br />with the Letters af Credit and Reimbursement Obligations, together with interest and other
<br />amounts payabl� with respect thereto; (iv) all other Obligations, indebtedness, obligations and
<br />liabilities now or her�after existing of any kind of any Loan �'arty or other Group Member to
<br />Administrative Agent ar any other Secured Farties under documents which recite that they are
<br />intended to be secured by this Mortgage; (v) any sums which may be advanced or paid by
<br />Trustee or Administrative Agent or any Secured Party under the terms hereof or of the Credit
<br />Agreement or other Laan Documents on account of the failure af Mortgagar or any othex Loan
<br />Party to camply with the covenants of Mortgagor or other Loan Party contained herein or
<br />therein; and all other Obligations, obligatians and liabilities of Mortgagor arising pursuant to the
<br />provisions of this Mortgage and the other Loan Documents, including penalties, indemnities,
