In the event of any conflict between the provisions of this Ag�reement and the Program Requirements, the Program Requirements shall govern, and to the extent necessary, the inconsistent provisinns of this Agreement shall be withaut effect. Section 11.10. inde endent Contractor• Indeamnification It is expressly understoad and agreed by the parties hereto that the Autharity is contxacting with the Owner as an independent contractor, and that Ov�mer, as such, agrees ta hald harrnless and to indemnify the Authority and its officers, agents and employees from and against any and all claims, demands and causes of action of every kind and nature which may be asserted by any third-party in connection with, arising out of, or in any vvay incident ta the services performed by the Authority under this Agreement. Section 11.11. Contlict of Interest No person wha (a) is a Member af Congress or Delegate tv Cangress or Resident Cornrnissioner of HUD, (b) is an employee, agent, consultant, of�cer or elected or appointed official of the Authaxity or af any xespondent that received funds and who exercises or has exercised any Functions or responsibilities with respeat ta activities assisted with funds provided under this Agreement, or (c) who is in a position to participate in the decision-making process or gain inside infarmation with regard to such activities, may obtain a persanal ar �nancial interest or benefit fram a 5ection 1602 Program-assisted activity, or have an interest in any contract, subcontract or agreement (or the proceeds thereot� with respect to a Section 1602 Frogram-assisted activity either fax themselves or those whom they have family or business ties, during their tenure and far one-year thereafter. Section 11.12. Information„ Reguests The Owner shall prnrnptly provide to the Authority any infarmation relating ta thc Project as may be requested by a federal ar state agency for purposes of the Section 1602 Program Requirements af accountability and transparency.
