Ru1es of Constructian Unless the context clearly indicates to the contrary, the following rules apply to the construction of this Agreement: (a) Words importing the singular number include the plural number and words irnporting lhe plural number include the singular number; (b) Words of thc masculine gender include correlative wocds nf the fenninine and neuter genders, and vice-versa; (c) The table of contents and the headings or captions used in this Agreement are for convenience of reference and do not constitute a part of this Agrccment, nor affect its meaning, construction, or effect; (d) Words importing persons include any individual, corporation, partnership, lirnited liability company, joint venturc, association, joint stock coxnpany, trust, unincozporated organization, or government or agency or political subdivision thereof; (e) Any reference in this Agreement to a particular "Article," "Section," ar other subdivision shall be to such Article, Section, nr subdivision nf this Agr�ement unless the context shall atherwise require; (� Each reference in this Agreement to an agreernent or contract shall include all arnendments, modifications, and supplernents to such agreement or cantraot unless the cantext shall otherwise require; and (g) When any reference is made in this dacument or any of the schedules or exhibits attached heretn ta the Agreement, it shall mean this Agreement, together with all other schedules and exhibits attached hereto, as though one docurtaent. Section 11.3. Binding Nature of Restrictians This Agreement shall he recorded against the Project in the oFfice af the register of deeds for the county in which the Project is located. The restrictians and covenants cantained in this Agreernent shall run vcrith the Land and be binding upon the Owner and all of the Owner's successors, assigns, l�eirs, grantees, or lesse�s. All refexences to "Owner" in this Agreement shall include the Owner's successars, assigns, heirs, grantees, ar lessees. Section 11.4. Assi�nments This Agreement and the proceeds of the Subavc�ard may nat be assigned, pledged, hypothecated, transferred, martgaged or otherwise conveyed to any Person or Entity. -zi- 4846-G923-1367.3
