SILVERBROO~, LL~C, a <br />Delware limited liability company (as "Landlord") and THE TAMS COMPANY, an Ohia corporation (as <br />"Tenant") certify as follows: <br />1. Landlord and Tenant entered into an Agreement of Lease dated effective August a?I~ , 2010, <br />whereby Landlord leased to Tenant two buildings (the "Premises") located on certain property located in <br />Grand Island, Nebraska, more particulazly described on Exhibit A (the "Property"). <br />2. Landlord's principal place of business is 300 E. Martin Luther King Boulevard, Suite 300, <br />Wilmington Delaware, 19801. <br />3. Tenant's principal place of business is 2 Procter & Gamble Plaza, Cincinnati, Obio 45202. <br />4. The commencement date of the term of the Lease is September 1, 2010. The initial term of <br />the Lease is three (3) years. Tenant has rights under the Lease to extend the term of the Lease in accordance <br />with certain terms and conditions of the Lease. Tf Tenant exercises all of Tenant's available extension options, <br />the expiration date of the Lease would be February 28, 2015. <br />6. Tenant has an option to purchase the Property and a right of first refusal to purchase the <br />Property in accordance with certain terms and conditions of the Lease. <br />~,~. So <br />7. This Memorandum describes only selected terms of the Lease, and reference is made to the <br />full text of the Lease for the full terms and conditions. This Memorandum shall not, in any way, amend or <br />supersede the terms and conditions of the Lease. <br />
