<br />POWER OF ATTORNEY
<br />AgriBank, FCB, (successor-in-interest to AgAmerica, FCB, Farm Credit Bank of Omaha, the Federal Land Bank of
<br />Omaha and the Federal Intermediate Credit Bank of Omaha) a federally chartered instrumentality and a corporation
<br />organized and existing under the laws of the United States of America, and having a principal place of business at
<br />375 Jackson Street, St. Paul, Minnesota 55101, does hereby individually constitute and appoint Farm Credit Services
<br />of America, FLCA, (formerly known as Farm Credit Services of the Midlands, FLCA, successor-in-interest to the
<br />Federal Land Bank Association of the Midlands, and all farmer Federal Land Sank Associations, however
<br />denominated, chartered in the states of Iowa, Nebraska, South Dakota, or Wyoming) or Farm Credit Services of
<br />America, PCA, (formerly known as Farm Credit Services of the Midlands, PCA, successar-in-interest to the
<br />Production Credit Association of the Midlands, and all former Production Credit Associations, however
<br />denominated, chartered in the states of Iowa, Nebraska, South Dakota, or Wyoming) also federally chartered
<br />instrumentalities and corporations organized and existing under the laws of the United States of America, and any
<br />successors in interest by merger or consolidation, as its true and lawful agent and attorney-in-fact for and an behalf
<br />of said AgriBank, FCB, and in its name, place and stead, is hereby gamed full power and authority to undertake and
<br />perform the following actions in connection with AgriBank, FCB, acting as trustee on trust deeds as fully as
<br />AgriBank, FCB could do if acting on its own behalf:
<br />acquire, own, lease ,manage, protect, insure, improve, sell, convey, grant easements or otherwise deal with and
<br />dispose of real or personal property; execute and deliver all documents to accomplish the foregoing, including
<br />but not limited to, subordinations, substitutions, severance agreements, fixture and easement priority agreements,
<br />trust deeds, reconveyances and partial reconveyances of trust deeds, assignments, listing agreements, contracts
<br />of sale and purchase, bills of sale, restructure agreements, compromise agreements, settlement agreements,
<br />forbearance ageements, stipulations, consents, plats, insurance policies, receipts, indemnities, guarantees,
<br />escrows, waivers, and satisfactions; accept service of process;
<br />and to otherwise do any and all things helpful, necessary or appropriate to carry out and effectuate this Power of
<br />Attorney relating to trust deeds, or other documents securing property, whether real, personal, or mixed, whether
<br />taken as security for a loan, acquired in satisfaction of debt or otherwise; and the employment, and discharge of
<br />additional agents to perform any of the above.
<br />The signing and executing of documents subject to this Power of Attorney for AgriBank, FCB, shall be by Farm
<br />Credit Services of America, FLCA, or Farm Credit Services of America, PCA, by its Chief Executive Officer,
<br />President, or any Vice President or Assistant Corporate Secretary, and the same may be executed under the seal of
<br />Farm Credit Services of America, FLCA, or Farm Credit Services of America, PCA. The attestation of said
<br />documents by the Secretary, or any Assistant Secretary, of said Farm Credit Services of America, FLCA, or Farm
<br />Credit Services of America, PCA, is permitted, but not necessary, and any attesting signature need not be
<br />acknowledged.
<br />It is intended that any and all actions taken by Farm Credit Services of America, FLCA, or Farm Credit Services of
<br />America, PCA, as agent, special agent, or attorney-in-fact, for ar on behalf of AgiBank, FCB, prior to the
<br />recordation of this Power of Attorney are ratified and confirmed.
<br />This Power of Attorney shall remain in full force and effect until revoked, and any revocation, except by operation of
<br />law, shall not be effective unless and until such revocation shall be properly filed or recorded in the offices wherein
<br />this Power of Attorney if filed or recorded, and any and all powers of attorney given by AgriBank, FCB, or any of its
<br />predecessors in interest to Farm Credit Services of America, FLCA, or Farm Credit Services of America, PCA, or
<br />any predecessors in interest are hereby ratified, confirmed and incorporated herein by reference.
<br />It is intended that all parties may rely upon any action undertaken and any documents executed by, for or on behalf
<br />of AgriBank, FCB, as above set forth without further inquiry into the power and authority of Farm Credit Services of
<br />America, FLCA, ar Farm Credit Services of America, PCA, to execute, do, or perform the same. A photocopy of
<br />this Power of Attorney shall serve and may be relied upon as an original.
