20~.U03753 <br />ARTICLE b <br />MISCELLANEOUS <br />6.1 Trustee. Trustee accepts the trusts hereby created and agrees to perform its duties <br />in this Deed of Trust for the benefit of Lender. To the extent permitted by and consistent with <br />Applicable Law, Trustee will not exercise its rights under this Deed of Trust except upon written <br />direction from Lender. <br />6.2 Substitute Trustee: If, for any reason, Lender prefers to appoint a substitute <br />Trustee hereunder, Lender may, from time to time, by written instrument, appoint one or more <br />substitute trustees, who shall succeed to all the estate, rights, powers, and duties of the original <br />Trustee named herein. Such appointment may be executed by any one acting in a representative <br />capacity, and such appointment shall be conclusively presumed to have been executed with <br />appropriate authority. <br />6.3 Liabilit and Indemnification of Trustee. No trustee hereunder shall be personally <br />liable by reason of any act or omission of any other trustee hereunder. Trustee shall not be liable <br />for any act or omission or error of judgment. Trustee may rely on any document believed by him <br />in good faith to be genuine. All money received by Trustee shall, until used or applied as herein <br />provided, be held in trust, but need nat be segregated (except to the extent required by law), and <br />Trustee shall not be liable for interest thereon. Trustor hereby indemnifies Trustee against all <br />liability and expenses which he may incur in the performance of his duties hereunder. <br />6.4 Limitation of Rights of Others. Nothing in this Deed of Trust is intended or shall <br />be construed to give to any person, other than Trustor, Trustee, and Lender, any legal or <br />equitable right, remedy or claim under or in respect of this Deed of Trust or any covenant, <br />condition or provision herein contained. <br />6.S Reconveyance by Trustee. Upon written request of Lender stating that all <br />Obligations have been satisfied in full or otherwise upon the written request of Lender and upon <br />payment by Trustor of Trustee's fees, Trustee shall reconvey to Trustor, or to the person or <br />persons legally entitled thereto, without warranty, any portion of the Trust Estate then held <br />hereunder. The recitals in such reconveyance of any matters or facts shall be conclusive proof of <br />the truthfulness thereof. The grantee in any reconveyance may be described as "the person or <br />persons legally entitled thereto." Trustor shall also pay Lender a reasonable processing fee in. <br />connection with such reconveyance. <br />6.6 Notices. All notices, demands, designations, certificates, requests, offers, <br />consents, approvals, appointments and other instruments given pursuant to this Deed of Trust <br />shall be given in accordance with the Note, with notices to Trustee to be given at the address <br />stated in the first paragraph of this Deed of Trust or to such other address as Trustee may specify <br />to the other parties in writing.. <br />6.7 Choice of Law. This Deed of Trust shall be governed by and construed in <br />accordance with the internal laws of the State of Nebraska, without regard to its conflicts of law <br />principles. <br />4842-8419-5330.1 ~ 4 <br />
